Sales Proposal Addendum Contract

This Sales Proposal Addendum Contract ("Contract") is made and entered into this [Date], by and between [Your Company Name], with an office at [Your Company Address] ("Seller"), and [Your Partner Company Name], with an office at [Your Partner Company Address] ("Buyer"). Collectively, the Seller and the Buyer are referred to as the "Parties."

This Contract serves as an Addendum to the original Sales Proposal dated [Date of Original Proposal] between the Parties (the "Original Proposal"). Except as expressly modified by this Addendum, all terms and conditions of the Original Proposal shall remain in full force and effect.

1. Scope of Amendment

This Addendum shall serve to modify, amend, and supplement the Original Agreement in the following manner:

1.1. Additional Products/Services

Party A shall provide the following additional products/services to Party B as specified in the attached Schedule A, which forms an integral part of this Addendum.

  • Description of Additional Products/Services: Party A will provide Party B with comprehensive software maintenance and support services, including 24/7 technical assistance, software updates, and regular system health checks. Additionally, Party A will offer on-site training sessions for Party B's staff to ensure optimal utilization of the software.

1.2. Pricing

The pricing for the additional products/services shall be as outlined in Schedule A.

  • Pricing Structure: The pricing for the above-mentioned services shall be $10,000 per month, payable in quarterly installments. Party A agrees to provide a 10% discount for the first quarter as a special promotion for Party B.

2. Payment Terms

2.1. Payment Schedule

Party B shall make payments to Party A in accordance with the payment schedule outlined in Schedule A.

Payment Schedule: Party B agrees to make quarterly payments to Party A as follows:

First Payment:

$22,500 due on [Month Day, Year]

Second Payment:

$22,500 due on [Month Day, Year]

Third Payment:

$22,500 due on [Month Day, Year]

Fourth Payment:

$22,500 due on [Month Day, Year]

2.2. Invoicing

Party A shall issue invoices for the additional products/services provided in accordance with the payment schedule mentioned in this Addendum.

  • Invoicing Process: Party A will send detailed invoices to Party B's billing department ten (10) days prior to each payment due date. Invoices will be delivered electronically to the email address specified by Party B. Each invoice will include a breakdown of charges, payment instructions, and a reference to this Addendum.

3. Term

3.1. Commencement Date

This Addendum shall come into effect on November 1, 2050, which shall be the date of mutual execution by both Parties.

3.2. Duration

The term of this Addendum shall be for 12 months and shall automatically terminate upon the expiration of this period, unless otherwise terminated as per the terms of the Original Agreement.

4. Governing Law

This Addendum and any disputes arising out of or in connection with it shall be governed by and construed in accordance with the laws of the California, without regard to its conflict of laws principles.

5. Entire Agreement

This Addendum, together with the Original Agreement, constitutes the entire agreement between the Parties, superseding any prior understandings or agreements, whether oral or written.
