HEALTH & SAFETY TRAINING AGREEMENT

I. Scope of Services

A. Training Program: The Trainer agrees to provide Health & Safety Training services to the Client. This training aims to enhance workplace safety awareness, promote safe working practices, and ensure compliance with health and safety regulations. The training will be interactive, employing a mix of presentations, practical exercises, and assessments.

B. Training Schedule: Training sessions will be conducted as per the following detailed schedule. Each session will include a Q&A segment to address specific concerns of the participants. Attendance records will be maintained for each session to ensure compliance with the training requirements.

II. Training Materials and Equipment

A. The Trainer will provide comprehensive training materials, including handouts, manuals, and access to online resources. These materials will be customized to align with the specific needs of the Client's workforce and industry standards.

B. The Client shall ensure the availability of a training room, projector, and other necessary equipment as agreed upon. The training room should be equipped with adequate seating, lighting, and ventilation to create a conducive learning environment.

III. Fees and Payment

A. The total cost for the Health & Safety Training program is five thousand (5,000) dollars. This fee covers the Trainer's time, materials, and any travel expenses incurred. The payment structure is designed to facilitate smooth financial transactions and ensure timely delivery of services.

Late payments may incur an additional fee of one (1) percent per month on the outstanding balance.

 IV. Responsibilities of the Client

A. The Client shall ensure the participation of employees as per the agreed schedule. The Client is also responsible for communicating the importance of the training to its employees to ensure active participation and engagement.

B. The Client is responsible for providing a safe and suitable environment for the training sessions. This includes ensuring that the training area is free from hazards and interruptions, thereby fostering an optimal learning environment.

V. Cancellation and Rescheduling

A. In case of cancellation or rescheduling, the Client must inform the Trainer at least seven (7) days in advance. This allows the Trainer to make necessary adjustments to their schedule and minimize disruptions.

VI. Confidentiality

A. Both parties agree to maintain the confidentiality of the training materials and any proprietary information exchanged during the training sessions. This clause is crucial to protect the intellectual property of the Trainer and the sensitive information of the Client.

B. Breach of confidentiality may result in legal action and damages, as deemed appropriate by the affected party.

VII. Liability

A. The Trainer shall not be held liable for any injury or damage that occurs during the training, provided that such injury or damage is not due to the Trainer's negligence. This limitation of liability is standard practice in training agreements.

B. The Client agrees to indemnify the Trainer against any claims arising from the Client's failure to provide a safe training environment.

VIII. Agreement Termination

A. This Agreement may be terminated by either party with a written notice of thirty (30) days. Early termination may be necessary in unforeseen circumstances such as significant changes in business operations.

B. Upon termination, all outstanding payments become immediately due, and the Trainer will provide any training materials prepared up to the date of termination.

IX. Governing Law

A. This Agreement shall be governed by and construed in accordance with the laws of the State. Any disputes arising under this Agreement shall be resolved through arbitration in the jurisdiction of the State.
