HEALTH & SAFETY COMMITTEE FORMATION AGREEMENT

WHEREAS, the Company recognizes the importance of maintaining a safe and healthy work environment for all its employees and is committed to implementing effective health and safety policies and procedures;

AND WHEREAS, the Committee is established to assist in advising, overseeing, and promoting health and safety initiatives within the workplace, ensuring compliance with applicable laws and regulations, and enhancing the overall safety culture of the Company;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

1. Establishment of the Committee

1.1. The Company hereby establishes the Health & Safety Committee, which shall be responsible for advising on and facilitating the implementation of policies and practices concerning health and safety in the workplace.

1.2. The Committee shall consist of members appointed by the Company, representing various departments and including employee representatives to ensure a broad perspective on health and safety issues.

2. Purpose and Objectives of the Committee

2.1 Purpose

2.1.1. The primary purpose of the Committee is to promote and maintain the highest degree of physical, mental, and social well-being of the employees in the workplace.

2.1.2. The Committee shall achieve this by identifying potential health and safety hazards, recommending corrective actions, and promoting awareness and education among employees.

2.2. Objectives

2.2.1. To systematically review the workplace conditions to ensure they meet the required health and safety standards as set by applicable laws and regulations.

2.2.2. To facilitate communication between employees and management regarding health and safety concerns and recommendations.

3. Duties and Responsibilities

3.1. Committee Duties

3.1.1. The Committee is tasked with conducting regular workplace inspections, organizing health and safety training programs, and reviewing incident reports to identify trends and areas for improvement.

3.1.2. Additionally, the Committee will provide recommendations to the management regarding health and safety policies, emergency procedures, and protective equipment requirements.

3.2. Reporting and Documentation

3.2.1. The Committee shall maintain accurate and up-to-date records of all meetings, inspections, and activities carried out in the execution of its duties.

3.2.2. These records will be made available to company management and, when necessary, to regulatory bodies or external auditors to demonstrate compliance with health and safety regulations.

4. Meetings and Decision-Making

4.1. Frequency of Meetings

4.1.1. The Committee shall meet at least once every quarter, or more frequently if deemed necessary by the members or the Company.

4.1.2. Special meetings may be called by any member of the Committee or by the Company’s management to address urgent health and safety matters.

4.2. Decision-Making Process

4.2.1. Decisions of the Committee shall be made by a majority vote of the members present. Each member shall have one vote, and the Chairperson shall have a casting vote in case of a tie.

4.2.2. The Committee shall endeavor to make decisions based on consensus, ensuring that diverse perspectives are considered and the best interests of all employees are served.

5. Membership and Term

5.1. Composition of the Committee

5.1.1. The Committee shall be composed of not less than twenty (20) and not more than thirty (30) members, with balanced representation from different departments and levels within the Company.

5.2. Termination of Membership

5.2.1. A member may resign from the Committee by giving written notice to the Chairperson.

5.2.2. The Company reserves the right to remove a member from the Committee if they fail to attend five (5) consecutive meetings without reasonable excuse or if they no longer meet the criteria for membership.

6. Confidentiality and Non-Disclosure

6.1. Confidentiality Obligations

Members of the Committee must maintain confidentiality regarding sensitive information discussed during meetings or in the course of carrying out their duties. Breach of confidentiality may result in termination of Committee membership and potential legal action by the Company.

6.2. Protection of Sensitive Information

The Committee members shall ensure that any health and safety reports, employee health data, and other sensitive information are securely stored and only disclosed to authorized personnel. The Committee will adhere to the Company’s privacy policy and relevant data protection laws in the handling of such information.
