THIS SALES NON-DISCLOSURE AGREEMENT (NDA) FOR EVENT SPONSORSHIP DEALS (the "Agreement") is made effective as of [Date], by and between [Sponsor Company Name], a corporation duly organized and existing under the laws of [State/Country], with its principal place of business at [Sponsor Company Address] ("Disclosing Party"), and [Your Company Name], a corporation duly organized and existing under the laws of [State/Country], with its principal place of business at [Your Company Address] ("Receiving Party").

WHEREAS, the Disclosing Party and the Receiving Party are exploring the possibility of entering into an event sponsorship arrangement;

WHEREAS, in connection with this potential arrangement, the Disclosing Party may disclose to the Receiving Party certain confidential proprietary information relating to the said sponsorship;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

I. Definition of Confidential Information

a. For purposes of this Agreement, "Confidential Information" refers to any data or information, oral or written, disclosed by the Disclosing Party to the Receiving Party relating in any way to the Disclosing Party's business, sales strategies, event details, sponsorship packages, marketing plans, or potential customers.

II. Obligations of Receiving Party

a. The Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party.

b. The Receiving Party shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement.

c. The Receiving Party shall not use any portion of the Confidential Information for any purpose other than evaluating the potential sponsorship arrangement.

III. Term of Non-Disclosure Obligations

a. The non-disclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until the Disclosing Party sends the Receiving Party written notice releasing it from this Agreement, whichever occurs first.

IV. Return of Confidential Information

a. Upon the written request of the Disclosing Party, the Receiving Party shall return to the Disclosing Party all written materials containing the Confidential Information.

b. The Receiving Party shall also destroy all copies of any notes, analyses, compilations, reports, forecasts, studies, samples, data, computer programs, or any other documents prepared by the Receiving Party which contain or are based on the Confidential Information.

V. No License

a. Nothing contained herein shall be construed as granting or conferring any rights by license or otherwise in any Confidential Information.

VI. Remedies

a. Both parties acknowledge and agree that due to the unique nature of the Disclosing Party's Confidential Information, any breach of this Agreement would cause irreparable harm for which monetary damages are not an adequate remedy and the Disclosing Party shall be entitled to equitable relief, including injunction and specific performance.

VII. Governing Law

a. This Agreement shall be governed by the laws of the jurisdiction in which the Disclosing Party's principal place of business is located, without regard to its conflict of laws principles.

VIII. Entire Agreement

a. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or understandings, whether written or oral.
