SALES BOOTH SPACE AGREEMENT

This Sales Booth Space Agreement (the "Agreement") is entered into this [Month-Day-Year],

BETWEEN:

[Your Company Name], with its principal place of business at [Your Company Address], herein represented by [Your Name], in the capacity of [Job Title], hereinafter referred to as the "Lessor";

AND

[Your Partner Company Name], with its place of business at [Your Partner Company Address], herein represented by [Name], in the capacity of [Job Title], hereinafter referred to as the "Lessee";

WHEREAS, the Lessor is in the business of providing booth spaces for commercial activities and has the authority and right to lease such spaces; and

WHEREAS, the Lessee desires to enter into this Agreement to lease a booth space from the Lessor for the purpose of conducting sales and promotional activities during the upcoming trade fair;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

1. Lease of Booth Space

1.1 Lessor hereby agrees to lease to Lessee a booth space ("Booth Space") identified as [Booth Space Number or Description] at the location of [Event or Venue Name].

1.2 The term of the lease shall commence on [Start Date] and shall terminate on [End Date] unless earlier terminated in accordance with the provisions herein.

2. Payment Terms

2.1 Lessee shall pay Lessor a total fee of [Amount] for the term of the lease ("Lease Fee").

2.2 The Lease Fee is due and payable upon the execution of this Agreement.

2.3 Any additional costs incurred by Lessee for services provided by Lessor in connection with the Booth Space will be subject to separate billing and payment terms as outlined in Exhibit A attached hereto.

3. Use of Booth Space

3.1 Lessee shall use the Booth Space solely for the purpose of displaying and selling [Product Name].

3.2 Lessee shall not use the Booth Space for any illegal activity or in any manner that could damage the reputation of Lessor or the event venue.

4. Booth Space Assignment and Restrictions

4.1 Lessor reserves the right to change the assigned Booth Space to a space of equivalent size and utility.

4.2 Lessee shall not sublet any portion of the Booth Space or assign this Agreement without the prior written consent of Lessor.

5. Setup and Dismantling

5.1 Lessee shall have access to the Booth Space for the purpose of setup on [Date] at [Time].

5.2 Dismantling of the Booth Space shall be completed by Lessee no later than [Date] at [Time].

5.3 Lessee shall leave the Booth Space in the same condition as it was at the commencement of the lease term.

6. Cancellation

6.1 Lessee may cancel this Agreement by providing written notice to Lessor no later than ten (10) days prior to the cancellation date.

6.2 In the event of cancellation by Lessee, Lessor shall retain a portion of the Lease Fee as a cancellation fee.

7. Liability and Insurance

7.1 Lessee shall indemnify and hold harmless Lessor against any claims arising out of Lessee's use of the Booth Space.

7.2 Lessee shall maintain adequate insurance coverage for the Booth Space and its contents.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Lessor's principal place of business is located.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, agreements, and understandings between them.
