Sales Client Exit Agreement
This Sales Client Exit Agreement ("Agreement") is entered into by and between [Your Company Name] ("Company"), with its principal place of business at [Company Address], and [Client Name] ("Client"), with its principal place of business at [Client Address].
Collectively referred to as the "Parties."
Background
The Company has provided services to the Client as per the terms and conditions of the existing Service Agreement, which was entered into on [Month Day, Year].
The Client now wishes to discontinue the services provided by the Company and terminate the Service Agreement.
Agreement Terms
Termination: This Agreement shall become effective upon signing by both Parties and shall constitute a formal termination of the Service Agreement dated [Month Day, Year]
Service Cessation: As of the effective date of this Agreement, the Company shall cease providing services to the Client as per the Service Agreement.
Client Obligations: The Client agrees to fulfill any outstanding obligations, including but not limited to outstanding payments, and any other commitments as per the Service Agreement up to the effective date of this Agreement.
Company Obligations: The Company will cooperate with the Client to ensure a smooth transition and handover of any necessary documentation or materials related to the services.
Confidentiality: Both Parties agree to maintain the confidentiality of any proprietary information shared during the course of the Service Agreement. All confidentiality clauses of the Service Agreement shall remain in effect.
Release and Waiver: Upon the fulfillment of all obligations and the handover of any required materials or information, the Client releases the Company from any further obligations, claims, or liabilities arising out of the Service Agreement.
Return of Materials: The Client shall promptly return any materials, equipment, or assets belonging to the Company upon termination of the Agreement.
No Further Claims: Both Parties agree that they will have no further claims, liabilities, or obligations to each other beyond what is specified in this Agreement.
Entire Agreement: This Agreement constitutes the entire agreement between the Parties concerning the subject matter and supersedes all prior or contemporaneous agreements, understandings, and negotiations, whether written or oral.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of law principles.
