To Whom It May Concern,

We're excited to partner with you for the development and promotion of our new software product. Here are the key points of our agreement:

1. Purpose:

• The parties agree to collaborate on the development and promotion of a new software product targeted at the marketing industry.

2. Roles:

• TechSolutions will be responsible for software development, quality assurance, and technical support.

• MarketBoost will be responsible for marketing strategy, promotional activities, and customer engagement.

3. Finances:

• Profits/losses are shared equally.

• TechSolutions: $50,000 for development.

• MarketBoost: $30,000 for marketing.

4. Duration:

• The partnership will commence on January 1, 2054, and continue for a period of two years, with the option for renewal by mutual agreement. Either party may terminate this agreement with a 30-day written notice.

5. Confidentiality:

• Both parties agree to maintain the confidentiality of any proprietary information shared during the course of this partnership, including but not limited to software source code, marketing plans, and customer data.

6. Dispute Resolution:

• Any disputes arising under or in connection with this agreement will be resolved through mediation, and if unresolved, through arbitration in accordance with the laws of the state of New Jersey.

7. Governing Law:

• This agreement will be governed by and construed in accordance with the laws of the state of New Jersey.

This letter constitutes the entire understanding between TechSolutions Inc. and MarketBoost Marketing and supersedes all prior discussions, negotiations, and agreements.
