Nature of partnership:

This partnership letter is made with the parties' intent to enter into a Joint Venture.

Terms and Conditions:

The parties agree to the following terms and conditions:

• Each party shall contribute resources and expertise to the joint venture.

• All decisions regarding the joint venture shall be made jointly by the parties.

• The parties shall have equal ownership and profit-sharing arrangements.

• Confidentiality of any shared information shall be maintained.

• Both parties shall carry out their responsibilities diligently and in good faith.
