This Inter-departmental Collaboration Agreement ("Agreement") is entered into on this [Date], by and between:

NOW, THEREFORE, in consideration of the mutual covenants contained herein, Department A and Department B hereby agree as follows:

Purpose of Collaboration

The parties recognize the need to collaborate to leverage their respective expertise and resources effectively. This collaboration aims to address [specific project or goal], which is aligned with the company's strategic objectives.

The purpose of this collaboration is to combine the strengths of Department A and Department B to achieve a unified and successful outcome. This may include, but is not limited to, joint research and development, process improvement, or the launch of a new product.

Roles and Responsibilities

Communication

Communication channels shall include email correspondence, video conferences, and scheduled in-person meetings. Points of contact for each department are designated in Appendix B.

Resource Allocation

Both parties shall allocate human resources, budget, and equipment as necessary to support the collaborative project. This includes assigning specific team members to work on the project full or part-time.

The allocation of resources shall be flexible to accommodate the evolving needs of the project. Any resource constraints or changes shall be communicated promptly to avoid project delays.

Timelines

A comprehensive project timeline has been developed and is attached as Appendix C. It outlines key milestones, deadlines, and deliverables, allowing both parties to track progress effectively. Regular reviews of the project timeline shall occur during status update meetings to ensure adherence to the agreed-upon schedule.

Confidentiality

Both Department A and Department B acknowledge the sensitive nature of the information they may exchange during the collaboration. All confidential information, including trade secrets and proprietary data, shall be handled in accordance with the company's confidentiality policies.

Access to sensitive data shall be restricted to individuals directly involved in the project, and any breach of confidentiality may result in disciplinary action.

Dispute Resolution

In the event of a dispute arising during the collaboration, both parties commit to first attempt resolution through discussions between designated representatives from each department.

If an amicable resolution cannot be reached, mediation or arbitration may be pursued as a means of conflict resolution, with costs to be shared equally by both parties.

Termination

Either Department A or Department B may terminate this Agreement with a written notice period of [specify notice period, e.g., 30 days], if it is determined that continuing the collaboration is no longer in the best interest of their respective departments or the company as a whole.
