MAINTENANCE AGREEMENT

This Maintenance Agreement ("Agreement") is entered into on [Date], between [Your Name], located at [Your Company Address], hereinafter referred to as the "Service Provider", and [Client's Name], located at [Client's Address], hereinafter referred to as the "Client".

1. Scope of Services

1.1 The Service Provider hereby undertakes the responsibility to agree upon the commitment of providing maintenance services for the items that are mentioned in the following part of this agreement and is concluding this agreement with the utmost intentions of abiding by it.

(a.) List of Equipment, Systems, or Property to be Maintained:

  • HVAC systems (heating, ventilation, and air conditioning)

  • Electrical systems (including lighting and power distribution)

  • Plumbing fixtures and systems

  • Building security systems (alarms, access control, CCTV)

  • Elevators and escalators

  • Fire suppression systems (fire alarms, sprinklers)

  • Building envelope (roofing, windows, doors)

  • Grounds maintenance (landscaping, parking lots)

(b.) Description of Maintenance Tasks and Frequency:

  • HVAC systems: Regular filter replacement monthly, full system inspection quarterly.

  • Electrical systems: Annual inspection and testing of all circuits, breakers, and connections.

  • Plumbing fixtures: Quarterly inspection for leaks and proper functioning.

  • Building security systems: Monthly testing of alarms and quarterly inspection of CCTV cameras.

  • Elevators and escalators: Bi-monthly maintenance checks for proper operation.

  • Fire suppression systems: Annual testing and certification of fire alarms and sprinklers.

  • Building envelope: Bi-annual inspection for any leaks or damage.

  • Grounds maintenance: Weekly landscaping services during the growing season, and snow removal in winter.

(c.) Any Additional Services to be Provided:

  • Emergency repair services for all listed systems.

  • On-call technician availability for urgent maintenance issues.

  • Supply of replacement parts and materials as needed.

1.2 The client acknowledges and fully agrees that the range and nature of the services provided have the potential to be altered, modified, or expanded. However, any such changes would only be implemented upon the collective agreement of all involved parties. It is also understood that this mutual agreement to make any changes must be recorded in written form for it to be considered valid and binding by all parties involved.

2. Responsibilities of Service Provider

2.1 The Service Provider has the responsibility of executing the maintenance services to the best of their ability. They are obligated to perform these tasks professionally, demonstrating workmanship that is efficient, skillful, and of high quality. Additionally, it is the Service Provider's duty to use due diligence, care, and capability that is reasonable and expected of them in their professional fields, to ensure high-quality maintenance services.

2.2 As stated in this Agreement, it is the responsibility of the Service Provider to ensure that all labor required is adequately provided. This includes but is not limited to, the supplying of all necessary materials, tools, and equipment that are essential for the execution of the maintenance services. The Service Provider must perform all these duties by the guidelines and specifications outlined in this Agreement.

3. Responsibilities of Client

3.1 The Client is obliged to grant access to the Service Provider to the premises or equipment that necessitates maintenance. This access should be given at times that have been agreed upon mutually by both the Client and the Service Provider.

3.2 It is the responsibility of the Client to inform the Service Provider promptly about any issues or concerns they may have in regards to the maintenance services being provided to them. Furthermore, it is expected that the Client will cooperate fully with the Service Provider to address and resolve said issues as quickly and effectively as possible.

4. Term and Termination

4.1 This Agreement is set to begin on the specified Start Date. After its commencement, the Agreement will continue to remain in effect for an initial period of 24 months. However, it is important to note that there exists the possibility for the Agreement to be terminated before the completion of this 24-month term. The conditions under which such early termination can occur will be as provided within the stipulations of this Agreement.

4.2 If either party involved in this Agreement wishes to terminate it, they are permitted to do so. However, it is required that they provide the other party with a written notice at least 30 days before the date of termination. This termination can be initiated for any given reason, or even if there is no specific reason at all.

5. Compensation

5.1 About the routine upkeep and service maintenance that the Service Provider has agreed to carry out, the Client has in turn pledged to compensate the Service Provider with a monthly payment. This mutually agreed upon sum is precisely $1500 and is expected to be remitted by the Client to the Service Provider promptly on the first day of each consecutive month.

5.2 You have the option to make the payment through three different methods: you can choose to use physical cash or write a check, or you have the choice of rendering the payment electronically through a transfer.

6. Indemnification

6.1 The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, or liabilities arising out of or related to the Client's use of the maintenance services provided under this Agreement.

7. Governing Law

7.1 This Agreement shall be governed by and construed under the laws of [State/Province/Country].
