1. Scope of Work

These services, delineated in detail, will be rendered autonomously and independently by the Freelancer, without the constraints of traditional employee-employer relationships. Both parties affirm and acknowledge the entirety of the scope of work, recognizing the unique nature of freelance work wherein the Freelancer exercises freedom and autonomy in delivering the agreed-upon services to the respective clients.

2. Payment

The compensation structure for the Freelancer is detailed in Exhibit B, attached herewith for easy reference. As per the terms outlined, the Freelancer is entitled to receive payment promptly upon invoicing, with a strict deadline of 30 days from the invoice date. This ensures a fair and timely remuneration process that supports the smooth progression of work and maintains a professional working relationship.

3. Deadlines

When embarking on a collaborative project, freelancers and clients typically establish clear deadlines to ensure the timely completion of the work. Both parties recognize the importance of meeting these deadlines to achieve project goals and maintain professional integrity. However, they also understand that unexpected circumstances may arise, such as technical challenges, personal emergencies, or scope changes, which could impact the agreed-upon timeline. In the event of unforeseen circumstances necessitating a modification or extension of deadlines, it is essential for both the freelancer and the client to engage in transparent communication and reach mutual agreement.

4. Intellectual Property Rights

The final payment for contracted work serves as the trigger for the transfer of intellectual property rights from the Freelancer to the Client unless explicitly stated otherwise in documented provisions. Until this point, all rights, titles, and interests associated with the produced work remain in the possession of the Freelancer. This delineation ensures clarity regarding ownership and responsibilities throughout the contractual agreement.

5. Confidentiality

Both parties involved in this agreement are committed to upholding the utmost confidentiality regarding each other's sensitive information. This commitment extends indefinitely beyond the termination of the agreement, emphasizing perpetual responsibility for safeguarding confidential data. Specifically, about the Freelancer's obligations, they are explicitly prohibited from discussing or disclosing any business or technical information acquired during their professional interactions with the Client, unless granted express written permission to do so.

6. Dispute Resolution

Both parties entering into this Agreement acknowledge and agree that any disputes arising from or related to the Agreement will first be resolved through arbitration. The arbitration proceedings will be conducted within the jurisdiction of the Client unless expressly agreed upon otherwise in writing. Additionally, both parties commit to handling all disputes internally in a calm, peaceful, and cooperative manner before considering any legal action as a means of resolving the dispute.

7. Termination

This Agreement delineates the terms governing the relationship between the two involved parties, entailing a clause enabling termination at any juncture by either party, regardless of cause. Notably, the party initiating termination must furnish written notice to the other party, sans requirement for a specific rationale. However, it is imperative to acknowledge that upon termination, any services already provided will warrant remuneration. Consequently, the Client, as the beneficiary of said services, remains liable for covering the associated costs post-termination.

8. Governing Law

The Agreement between both parties will be governed by the laws of the jurisdiction where the Client operates. Both parties mutually acknowledge and agree that the specific laws prevailing in the Client's jurisdiction will serve as the authoritative regulations for this Agreement. By entering into this Agreement, both parties expressly consent to the application of these laws to all aspects concerning this Agreement, ensuring clarity and understanding regarding legal matters and disputes that may arise.
