This Engagement Agreement (“Agreement”) is made effective as of [Effective Date], by and between [Your Company Name], having its principal place of business at [Your Company Address] (“Service Provider”) and [Client Company Name], having its principal place of business at [Client's Company Address] ("Client").

1. Scope of Work

The Service Provider agrees to perform the following services ("Services") for the Client:

  • Conduct a comprehensive market analysis of the client's target demographics and competitors.

  • Develop a strategic marketing plan to increase brand awareness and market share.

  • Provide ongoing consultation and support for the implementation of marketing strategies.

2. Responsibilities

2.1 Service Provider Responsibilities

  • Conduct thorough research and analysis to inform the development of the marketing plan.

  • Deliver high-quality, actionable recommendations promptly.

  • Maintain regular communication with the client to discuss project progress and address any concerns.

  • Treat all information obtained during the engagement with the utmost confidentiality.

2.2 Client Responsibilities

  • Provide access to relevant company data, marketing materials, and key personnel for the duration of the engagement.

  • Review and provide feedback on deliverables within five business days of receipt.

  • Make payments according to the terms outlined in Section 3 of this Agreement.

  • Notify ABC Consulting Firm promptly of any changes to project goals or requirements.

3. Payment Terms

Client agrees to compensate Service provider for the Services rendered based on the following terms:

  • A flat fee of [amount] for the market analysis and development of the marketing plan.

  • Payment shall be made in two installments: 50% upon signing of this Agreement and 50% upon delivery of the final marketing plan.
