1. Position and Duties

4. Term and Termination

5. Confidentiality

5.1 Definition of Confidential Information:

For the purposes of this Agreement, "Confidential Information" shall mean any information, whether written, oral, or in electronic form, that is disclosed by the Employer to the Employee, or that the Employee has access to, in connection with the Employee's employment, including but not limited to:

  • Business plans, strategies, and methods

  • Financial information

  • Customer and client lists

  • Marketing plans and strategies

  • Product designs and specifications

  • Software, algorithms, and code

  • Trade secrets and know-how

5.2 Obligations of Employee:

The Employee agrees to hold all Confidential Information in strict confidence and not to disclose, directly or indirectly, any Confidential Information to any third party without the prior written consent of the Employer, except as required by law.

5.3 Use of Confidential Information:

The Employee agrees to use Confidential Information solely for the purpose of performing the Employee's duties under this Agreement and agrees not to use Confidential Information for any other purpose without the prior written consent of the Employer.

5.4 Return of Confidential Information:

Upon termination of employment, or at any time upon request by the Employer, the Employee agrees to promptly return to the Employer all Confidential Information, including any copies or reproductions thereof, in the Employee's possession or control.

5.5 Survival:

The obligations of confidentiality and non-disclosure set forth in this Agreement shall survive the termination of this Agreement and the Employee's employment with the Employer.

5.6 Remedies:

The Employee acknowledges that any breach of this confidentiality provision may cause irreparable harm to the Employer, and the Employer shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, to enforce the provisions of this Agreement.

5.7 Exceptions:

Notwithstanding the foregoing, the Employee shall not be in violation of this confidentiality provision if the Employee can demonstrate that the Confidential Information:

  • Was in the public domain at the time of disclosure or subsequently came into the public domain through no fault of the Employee;

  • Was rightfully in the Employee's possession prior to disclosure by the Employer;

  • Was independently developed by the Employee without reference to or use of the Confidential Information; or

  • Was disclosed to the Employee by a third party who had the lawful right to disclose the Confidential Information.

6. Governing Law

6.1 Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
