Freelancer Agreement

This Freelancer Agreement (the “Agreement”) is hereby entered into by and between [Your Name] (the “Freelancer”) and [Client's Full Name], (the “Client”), collectively known as the “Parties”, and states the agreement for the provision of services by the Freelancer to the Client.

1. Introduction

This Agreement governs the relationship between Freelancer and Client for the provision of freelance graphic design services. Both parties agree to the terms and conditions outlined herein.

2. Scope of Work

Freelancer agrees to provide the following services to Client:

• Creation of a company logo and branding materials

• Design of marketing materials for an upcoming product launch

• Delivery of final files in various formats

3. Payment Terms

Client agrees to pay Freelancer the following fees for the services rendered:

• Total payment of $2000, payable in two installments.

• The first installment of $1000 upon signing this Agreement.

• The second installment of $1000 upon completion of the project.

4. Deadlines

Both parties agree to adhere to the following deadlines:

• Initial logo concepts are to be delivered within 7 days of contract signing

• Final logo and branding materials to be completed within 14 days of concept approval

5. Intellectual Property Rights

All intellectual property rights related to the services provided by the Freelancer shall belong to the Client upon full payment. Freelancer retains the right to display the work in their portfolio.

6. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information disclosed during the project, including but not limited to, proprietary business information and creative concepts.

7. Termination

Either party may terminate this Agreement upon written notice if the other party breaches any material provision of this Agreement. Upon termination, the Client shall pay the Freelancer for any work completed up to the termination date.

8. Dispute Resolution

Any disputes arising from this Agreement shall be resolved through arbitration in New York City, by the rules of the American Arbitration Association.

9. Governing Law

This Agreement shall be governed by and construed by the laws of the State of New York, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

11. Amendments

Any modifications, alterations, or changes to this Agreement must be prepared in written form. Furthermore, such amendments must be authenticated by the signatures of both parties involved, signifying their consent and approval of the updated terms.

12. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
