Free Affiliate Agreement

This Agreement is executed this first day of January 2050, by and between ToTechniUseful, a company operating under the laws of the state of New York, located at 808 Maple Lane, Apt 7A, Lakeside, NY 10010, hereinafter referred to as the "Merchant", and DigiPromo LLC, a company operating under the laws of the state of California, located at 505 Cedar Road, Suite 12, Brookside, CA 90240, hereinafter referred to as the "Affiliate".

1. Definitions and Interpretations

In this agreement, unless the context otherwise requires, the following terms shall have the corresponding meanings:

• "Agreement": refers to this Affiliate Marketing Agreement and all its appendices.

• "Affiliate" refers to the party known as DigiPromo LLC. The affiliate will be responsible for promoting the Merchant’s products/services to its network.

• "Merchant" refers to the party known as ToTechniUseful. The merchant will provide the products/services for promotion.

2. Scope of Agreement

The Affiliate agrees to promote the products of the Merchant, specifically Smartphone-related products, on social media platforms. In turn, the Merchant will pay the Affiliate a commission based on the sales generated from the promotions.

3. Commission and Payment

The Affiliate will be paid a 10% commission on the total sales generated from the promotion of the Merchant's products. The merchant will use an affiliate tracking system to determine the commission earned.

4. Duties and Obligations of the Party

• The Affiliate will conduct its business in a manner that reflects favorably on the products provided by the Merchant.

• The Merchant will be responsible for tracking sales generated by the Affiliate’s promotional activities and for making the Affiliate’s commission payments.

5. Liability

Neither the Merchant nor the Affiliate shall be liable to each other for any damage, loss, or expense of any kind arising out of this agreement except for cases of willful misconduct, gross negligence, or breach of this agreement.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of New York. Any disputes arising from this Agreement will be resolved through amicable negotiations and, if necessary, through mediation or arbitration.

This Agreement is executed in two counterparts, each of which shall be deemed an original.
