Subscription Agreement

SUBSCRIPTION AGREEMENT

1. PARTIES INVOLVED

This Subscription Agreement (“Agreement”) is effective from the date of the last signing party and is made between:

1.1 ToTechniUseful, a company duly incorporated, with its registered office located at 2007 Clearview Drive, Westminster, CO 80030 (hereinafter referred to as the "Company")
1.2 John Smith, residing at 286 Summit Park Avenue, Westminster, CO 80030 (hereinafter referred to as the "Investor").

2. SUBSCRIPTION OF SHARES

The Investor agrees to purchase 1,000 common stock shares of the Company at a purchase price of $10 per share, amounting to a total of $10,000. This payment should be made via wire transfer within 30 days from the date of execution of this Agreement.

3. REPRESENTATIONS AND WARRANTIES

Both parties hereby represent and warrant that:

They have full power and authority to enter into this Agreement and perform their obligations hereunder;
The execution, delivery, and performance of this Agreement will not violate any laws or regulations, or any order or decree of any court or governmental agency;
The representations and warranties contained in this Agreement are true and accurate as of the date of execution.

4. LEGAL COMPLIANCE

Both parties agree to comply fully with all applicable laws, rules, and regulations in the course of executing this Agreement. This includes, but is not limited to, securities laws and regulations.

5. CONFIDENTIALITY

All information obtained by either party in connection with this Agreement is classified as confidential and must not be disclosed to third parties without prior written consent from the non-disclosing party.

6. TERMINATION

Each party has the right to terminate this Agreement under certain circumstances, including but not limited to breach of terms, misrepresentation, or failure to comply with legal requirements.
