Free Manufacturing Agreement

This Manufacturing Agreement is made and entered into as of January 1, 2050, by and between TechGets Inc., a corporation organized and existing under the laws, whose principal place of business is located at 3754 Edington Drive, Atlanta, GA 30318 (hereinafter referred to as the "Customer"), and RT Factory, a corporation organized and existing under the laws, with its principal place of business located at 3936 Willison St., Atlanta, GA 30318 (hereinafter referred to as the "Manufacturer") (collectively referred to as the "Parties").

1. Scope

Manufacturer will produce smartwatches according to the standards, specifications, and designs provided by Customer.

2. Quality and Inspection

The Manufacturer shall ensure that the smartwatches are of premium quality and are compliant with all agreed-upon specifications. The Customer reserves the right to inspect the products throughout the manufacturing process.

3. Delivery Timescales

All orders are to be delivered by the Manufacturer by the dates and location specified in each purchase order.

4. Pricing and Payment

The Manufacturer shall price the goods as per the terms set out in an appendix hereto. Payments shall be made by the Customer to the Manufacturer by the 30th of each month as set forth in the appendix.

5. Confidentiality

Both Parties shall maintain the confidentiality and shall not disclose any proprietary information.

6. Intellectual Property

All rights, titles, and interests concerning any and all inventions, discoveries, or improvements made during the effectivity of this Agreement will belong to the Customer.

7. Termination

This Agreement may be terminated by either party:

• Upon 30 days written notice

• With immediate effect if the other party undergoes an insolvency event

8. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws.

This Agreement has been executed by the duly authorized representatives of the parties hereto as of the date first above written.
