MUTUAL AGREEMENT
This Agreement is made this 1st day of January 2050, by and between Mike Howard, herein referred to as "the Client", and Liam Hendricks, herein referred to as "the Supplier".
1. SCOPE OF AGREEMENT
This Agreement governs the provision and supply of construction materials by the Supplier to the Client. The specific nature, volumes, and quality requirements of the construction materials will be specified in individual orders placed by the Client with the Supplier.
2. TERM
This agreement shall commence on the date first above written and shall continue indefinitely unless terminated by either party as provided herein.
3. PRICING
The pricing for the construction materials will be agreed upon on an order basis and will be reflective of the market conditions at the time of each individual order.
4. DELIVERY AND PAYMENT
The Supplier will deliver all orders to the Client’s premises or site of construction as specified by the Client. Terms and conditions regarding payment will be as per the Respectively, agreed upon commercial terms set forth in each individual order.
5. INDEMNITY
Each party agrees to indemnify and hold harmless the other party from any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees, and costs of any kind or amount, which result from the negligence of or breach of this Agreement by the indemnifying party, its officers, directors, employees, agents, contractors or subcontractors.
6. TERMINATION
This Agreement may be terminated by either party by giving the other party thirty (30) days written notice of termination.
