Freelancer Agreement

THIS AGREEMENT

is entered into this 1st of May, 2050, between Kaye Simone, of 2853 River Rd., Colorado Springs, CO 80903 (hereinafter referred to as the "Freelancer") and Ben Creatives, of 2413 Geneva St., Colorado Springs, CO 80903 (hereinafter referred to as the "Client").

1. PURPOSE

The purpose of this Agreement is to engage the Freelancer for the provision of services relating to the development of a custom e-commerce website.

2. SCOPE OF SERVICES

The Freelancer agrees to develop a custom e-commerce website for the Client as per the specifications provided in Schedule A attached hereto (the “Services”).

3. COMPENSATION

The Client agrees to pay the Freelancer a fee for the Services as set forth in Schedule B attached hereto. Payment shall be due within 10 days of receipt of each invoice from the Freelancer.

4. CONFIDENTIALITY

The Freelancer agrees to keep confidential all non-public information that the Client provides, except when disclosure is required by law or professional standards.

5. INTELLECTUAL PROPERTY

Upon payment in full, all rights and interests in the work product developed by the Freelancer as part of the Services shall be owned by the Client.

6. TERM AND TERMINATION

This Agreement will begin on the date hereof and continue until the Services have been provided to the satisfaction of the Client or until terminated by either party upon 30 days' notice.

7. INDEPENDENT CONTRACTOR

It's understood that the Freelancer is an independent contractor and not an employee of the Client.

8. WARRANTIES AND REPRESENTATIONS

The Freelancer represents that the Services will be performed in a professional manner and in accordance with industry standards.

9. INDEMNITY

Each party agrees to indemnify and hold harmless the other party from any damages arising from the breach of this Agreement.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Colorado.

11. DISPUTE RESOLUTION

Any dispute arising out of this Agreement shall be resolved through mediation, failing which, it shall be submitted for arbitration under the rules of the State of Colorado.
