NON-DISCLOSURE AGREEMENT
This Non-Disclosure Agreement ("Agreement") is entered into on January 2, 2050, by and between:
Sienna Park ("Discloser"), having its principal place of business at 321 Radiant Avenue, Unit 22, Lively Lane, NY 98765,
and,
Paynt Inc. ("Receiver"), having its principal place of business at 404 Pine Drive, Unit 56, Rivertown, CA 90215.
OBJECTIVE
This Agreement aims to protect the confidential information regarding the "May Project" and to prohibit the Receiver from disclosing such information.
NON-DISCLOSURE OF INFORMATION
Receiver shall not disclose, use, disseminate, or otherwise exploit any non-public, confidential, or proprietary information about the “May Project” which may be provided by the Discloser, without the prior written consent from the Discloser.
DURATION
This Agreement shall remain in effect until the confidential information of the May Project becomes public domain.
JURISDICTION AND DISPUTE RESOLUTION
This Agreement shall be governed under the laws of New York. Any disputes arising from this Agreement shall be settled through Arbitration in the jurisdiction of New York.
ENTIRE AGREEMENT
This Agreement contains the entire agreement between the Discloser and Receiver. It supersedes any prior written or oral agreements between both parties.
IN WITNESS WHEREOF, the Discloser and Receiver have executed this Non-Disclosure Agreement as of the date first above written.
