SUPPLY AGREEMENT
This Supply Agreement (the "Agreement"), effective as of January 2nd, 2050 (the "Effective Date"), is entered into by and between:
Farm Venn (the "Supplier"), a business organization having its principal place of business at 3643 Saints Alley, Tampa, FL 33602,
And Bentley Groceries (the "Buyer"), a business organization having its principal place of business at 2429 Laurel Ln., Tampa, FL 33602.
1. TERM
The term of this Agreement shall commence on the Effective Date and shall continue till January 2, 2055, unless terminated earlier under conditions mentioned in this Agreement.
2. SUPPLIER'S OBLIGATIONS
The Supplier hereby agrees to supply uniform carrots and grapes in proportions and quantities detailed in Schedule A attached, as per the agreement specified by the Buyer and as may be updated from time to time.
3. PRICE AND PAYMENT
The price for the Products shall be as set forth on the 10th of January 2050 attached hereto. The Buyer will pay the Supplier for the Products within 2 weeks of receipt of an invoice from the Supplier.
4. DELIVERY AND ACCEPTANCE
All deliveries of the Products shall be made in accordance with the schedule specified by the Buyer. The Buyer shall have the right to inspect the Products upon receipt and reject any that are defective or non-conforming.
5. WARRANTY
The Supplier warrants that the Products will be free from defects in workmanship and materials for 1 year from the date of delivery.
6. INDEMNIFICATION
The Supplier will indemnify and hold harmless the Buyer from any claims, damages, liabilities, costs, and expenses resulting from any breach of this Agreement by the Supplier, or any negligence or misconduct by the Supplier.
7. TERMINATION
Either party may terminate this Agreement at any time by giving the other party written notice of such termination.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflicts of laws principles.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
