Free Non Profit Agreement

This Non-Profit Agreement ("Agreement") is entered into on this 23rd day of May 2050 (the "Effective Date"), by and between:

1. PARTIES

United Hearts Us, (the "Company"), a non-profit organization duly registered under the laws of the state, with its principal offices located at 123 Main Street, Lincoln, Nebraska, NE 68508, USA
AND
LiveAndHug, (the "Applicant"), an individual, residing at 4567 Broadway, Sacramento, California, CA 95818, USA

2. PURPOSE OF THE AGREEMENT

This Agreement concerns the grant of $50,000 provided by the Company to the Applicant for the purpose of implementing and maintaining a recycling program from May 23, 2050, to 2051 (the "Grant Period"). The use and expenditure of the funds will comply with local, state, and federal laws applicable to non-profit organizations.

3. GRANT OF FUNDS

The Company hereby agrees to provide the Applicant with the said grant. The Applicant shall only use the grant for the purposes and in the manner specified in this Agreement. To sustain transparency, the Applicant agrees to:

• Provide the Company with regular updates about the progress and utilization of the funds

• Submit a detailed financial report for every quarter of the Grant Period

4. TERM

This Agreement shall commence from the Effective Date and will continue until the end of the Grant Period unless terminated earlier in accordance with the terms of the Agreement.

5. CONFIDENTIALITY

Both parties agree to respect the confidentiality of each other's proprietary information and to not disclose any such confidential information to any third party without express written consent.

6. INDEMNITY

The Applicant agrees to indemnify and hold the Company harmless from any claims, losses, damages, liabilities, costs, and expenses arising from the Applicant's activities unless they are caused by the Company's gross negligence or intentional wrongdoing.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Nebraska, United States. Both parties consent to the jurisdiction of the state and federal courts located in Nebraska.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all other prior or contemporaneous agreements or understandings, whether verbal or written.
