Food Business Agreement
This Food Business Agreement (the "Agreement") is entered into on this first day of January 2050 (the "Effective Date") by and between the following parties:
Party Details
Healthy Harvest Farms (hereinafter referred to as the "Company"), Address: 1234 Green Valley Drive, Springfield, IL 62704
Leaflets Restaurant (hereinafter referred to as the "Partner"), Address: 5678 N Primrose Avenue, Chicago, IL 60018
The Company and the Partner are hereinafter collectively referred to as the "Parties" and individually as a "Party".
Purpose
This Agreement sets forth the terms and conditions by which the Company agrees to deliver fresh produce to the Partner on a weekly basis.
Scope of Collaboration
The Company shall ensure weekly deliveries of fresh produce with the following details:
Place of Delivery: Partner’s location as specified above
Frequency: Weekly, every Monday
Specifications: As per Partner’s requirements specified in Annex 1
Payment Terms
The Partner agrees to pay the Company the sum of $150 per week, payable within 30 days of invoice receipt. Additional costs, as agreed upon by the Parties, will be invoiced separately and are subject to the same payment terms.
Term and Termination
This Agreement shall commence on the Effective Date and shall continue for an initial term of 12 months. Thereafter, the Agreement shall continue on a month-to-month basis unless and until either Company or Partner terminates this Agreement by providing a notice.
Confidentiality
Both Parties agree to treat all information related to the business transactions under this Agreement as confidential.
Intellectual Property Rights
The Parties agree that all intellectual property rights arising from this Agreement shall remain the sole and exclusive property of the Party that provided said intellectual property.
Indemnification
Each Party agrees to indemnify and hold harmless the other Party against any claims arising out of violation of this Agreement.
Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the state of Illinois, without regard to principles of conflict of laws. Any disputes arising from this Agreement will be resolved through binding arbitration in Chicago, Illinois.
