I. Definitions

  • Sales Lead

    A "Sales Lead" refers to the contact information for a potential customer who has expressed some level of interest in the Client’s products or services.

  • Conversion Rate

    "Conversion Rate" refers to the percentage of Sales Leads that turn into actual sales.

  • Qualified Lead

    A "Qualified Lead" refers to a Sales Lead that meets specific criteria as agreed upon by both parties.

II. Services and Deliverables

A. Scope of Work

The Service Provider will generate a minimum of 500 Sales Leads per month, targeting the healthcare industry.

B. Deliverables

The Service Provider will deliver a compiled list of Sales Leads in an Excel file format twice a month.

C. Exclusions

The Service Provider is not responsible for the sales conversion of the provided leads.

D. Deadlines

III. Payment Terms

A. Fees

The Client will pay the Service Provider a monthly fee of $5,000.

B. Invoicing

Invoices will be sent electronically to the Client on the 1st of each month and are due within 30 days.

C. Penalties

Late payments are subject to a penalty of 5% per month.

IV. Reporting and Metrics

A. Monthly Reports

The Service Provider will provide monthly reports detailing:

  • Number of Sales Leads generated

  • Sources of Sales Leads

  • Estimated conversion rates

B. Performance Review

Quarterly performance reviews will be conducted to discuss metrics and adjust strategies.

C. Additional Metrics

Other metrics such as engagement level, response rate, and cost per lead may be included upon request.

V. Confidentiality

A. General Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information obtained during the execution of this Agreement.

B. Exceptions

Confidentiality obligations will not apply to information that is publicly known or independently developed.

VI. Term and Termination

A. Term

This Agreement is effective from November 1, 2050, and will terminate on October 31, 2051, unless otherwise terminated by either party.

B. Termination

Either party may terminate this Agreement by providing a 30-day written notice.

C. Consequences of Termination

Upon termination, all unpaid invoices become immediately due, and both parties must return or destroy confidential information.

VII. Intellectual Property Rights

A. Ownership

All intellectual property rights to the Sales Leads generated will belong to the Client.

B. License

The Service Provider grants the Client a non-exclusive license to use all data and reports generated.

VIII. Liabilities

A. Indemnification

Both parties agree to indemnify each other against any losses incurred due to a breach of this Agreement.

B. Limitation of Liability

Neither party shall be liable for indirect, special, or consequential damages.

IX. Governing Law and Dispute Resolution

A. Governing Law

This Agreement shall be governed by the laws of the United States.

B. Arbitration

Any disputes arising from this Agreement shall be resolved through binding arbitration.

X. Amendments

Any amendments to this Agreement must be in writing and signed by both parties.

XI. Notices

A. Method of Notice

All notices must be sent via email to the addresses specified at the beginning of this Agreement.

B. Receipt of Notice

Notice shall be deemed received upon confirmation of email receipt.

XII. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all previous agreements, understandings, and arrangements between them, whether in writing or oral in respect to its subject matter.

XIII. Signatures

By signing below, both parties acknowledge that they have read, understood, and agreed to the terms of this Sales Lead Generation Agreement.
