1. Equipment Description

The Seller hereby sells, transfers, and conveys to the Buyer the following equipment (the "Equipment"):

2. Payment

The total sale price of the Equipment is thirty-five thousand dollars ($38,000). The Buyer agrees to pay this amount in full on or before the 30th day of October, 2067.

3. Condition of Equipment

The Buyer acknowledges that they have inspected the Equipment and accepts it in its current condition. The Equipment is sold "as-is" without any warranties or guarantees, either expressed or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose.

4. Representations and Warranties

The Seller represents and warrants that:

• The Seller is the lawful owner of the Equipment.

• The Equipment is free from any liens or encumbrances.

• The Seller has the right to sell the Equipment.

5. Indemnification

The Buyer agrees to indemnify and hold harmless the Seller from any and all claims, losses, damages, or liabilities arising from the Buyer’s use of the Equipment.

6. Governing Law

This Bill of Sale shall be governed by and construed in accordance with the laws of the State of Texas.

7. Entire Agreement

This Bill of Sale constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral.
