Free Heavy Equipment and Truck Bill of Sale

This Bill of Sale ("Agreement") is made and entered into as of the January 1, 2062 by and between [YOUR COMPANY NAME] ("Seller"), located at [YOUR COMPANY ADDRESS], and Malcolm Raynor ("Buyer"), located at Jacksonville, FL 32099.

1. Description of Property

The Seller hereby sells and transfers to the Buyer the following described heavy equipment and truck:

• Description: A fully operational Caterpillar 336E L Hydraulic Excavator, equipped with a 24-inch bucket and extended reach. The truck is a 2018 Freightliner M2 106, used for equipment transportation.

2. Purchase Price

The total purchase price for the heavy equipment and truck shall be $175,000, to be paid by Buyer to Seller by wire transfer on or before the delivery date.

3. Payment Terms

The Buyer agrees to pay the Seller the full purchase price in accordance with the payment details provided. Payment should be made by wire transfer. The Seller acknowledges receipt of the deposit of $35,000 upon execution of this Agreement.

4. Condition of Equipment

Buyer acknowledges that the heavy equipment and truck have been inspected by the Buyer and are being purchased "AS IS" without any warranty, whether express or implied, as to the condition thereof. The Seller shall not be liable for any defects, whether hidden or apparent.

5. Delivery of Equipment

The Seller agrees to deliver the heavy equipment and truck to the Buyer on or before January 15, 2062 at Jacksonville, FL 32099. The risk of loss shall pass to the Buyer upon delivery.

6. Title and Taxes

The Seller guarantees that they hold clear title to the heavy equipment and truck and have the legal authority to sell them. The Buyer is responsible for any taxes or fees associated with the transfer of ownership.

7. Indemnity

Buyer agrees to indemnify and hold the Seller harmless from any subsequent claims, liabilities, damages, or legal actions related to the heavy equipment and truck following the completion of this sale.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes any previous understandings or agreements, whether written or oral, relating to the subject matter hereof.

9. Signatures

By signing below, the Seller and Buyer acknowledge that they have each read, understood, and agreed to the terms and conditions of this Bill of Sale.
