Startup Financial NDA
This Startup Financial Non-Disclosure Agreement (henceforth referred to as "Agreement"), effective from the year 2050, is entered into by and between the undersigned party, [Second Party] (henceforth referred to as the "Recipient"), and [Your Company Name] (henceforth referred to as the "Disclosing Party").
SECTION 1: PURPOSE OF THE AGREEMENT
The purpose of this Agreement is to protect the confidentiality of the proprietary financial information of the Disclosing Party. The Recipient agrees to maintain the confidentiality and to restrict the use and dissemination of such information.
SECTION 2: DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" refers to any information property, assets, strategies, documents, data, and other details of the Disclosing Party that may be revealed to the Recipient during the course of this agreement whether pertaining to financial matters or otherwise.
SECTION 3: NON-DISCLOSURE
The Recipient agrees to utilize the Confidential Information for no purpose other than to evaluate effectively the potential business relationship between the Parties and will not disclose this information to any party without the Disclosing Party's prior written consent.
SECTION 4: EXCEPTIONS TO CONFIDENTIAL INFORMATION
The Agreement does not apply to any information that is or becomes available to the public, except as a result of breach of this Agreement by the Recipient.
SECTION 5: TERM AND TERMINATION
This Agreement will be effective from the date set forth above and shall continue in force for five years unless terminated by either party through a written notice.
SECTION 6: REMEDIES
In the event of a breach of this Agreement, the Disclosing Party may take appropriate legal action to protect its interest and to compensate for any loss incurred due to such breach.
