EMAIL MARKETING LIST BUILDING NDA

This Email Marketing List Building Non-Disclosure Agreement ("Agreement") is entered into by and between:

[Your Company Name], with its principal place of business at [Your Company Address], herein referred to as the "Disclosing Party,"

AND

[Receiving Party Name], with its principal place of business at [Receiving Party Address] herein referred to as the "Receiving Party."

The Disclosing Party and the Receiving Party shall collectively be referred to as the "Parties."

WHEREAS, the Disclosing Party possesses a proprietary email marketing list or database containing valuable information, including but not limited to email addresses, customer details, and other data related to the Disclosing Party's business and marketing initiatives (the "List").

WHEREAS, the Receiving Party, in accordance with this Agreement, will be granted access to the List for the sole purpose of conducting joining email marketing efforts.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties hereby agree as follows:

I. Confidential Information

The List, along with any other information, data, or materials related to the List, shall be considered the "Confidential Information." Confidential Information includes, but is not limited to, the following:

A. The proprietary email marketing list or database, referred to as 'the List,' which contains valuable information, including email addresses, customer details, and other data related to the Disclosing Party's business and marketing initiatives.

B. Any and all information, data, or materials that are directly or indirectly related to 'the List.' This encompasses any supporting documents, reports, analytics, and any other materials that are associated with or derived from the email marketing list.

II. Non-Disclosure

The Receiving Party agrees not to disclose, disseminate, or otherwise make the Confidential Information available to any third party, except as expressly permitted under this Agreement.

III. Permitted Disclosures

The Receiving Party may disclose the Confidential Information to its employees, contractors, or agents on a need-to-know basis, provided that they are bound by obligations of confidentiality at least as stringent as those set forth in this Agreement.

IV. Use of Confidential Information

The Receiving Party shall use the Confidential Information solely for the purpose of conducting joint email marketing campaigns. Any other use or disclosure of the Confidential Information is strictly prohibited.

V. Safeguarding of Information

The Receiving Party shall employ reasonable security measures to protect the Confidential Information from unauthorized access, use, or disclosure. This includes, but is not limited to, implementing technical safeguards and requiring employees and agents to maintain the confidentiality of the information.

VI. Term and Termination

A. This Agreement shall commence on the Effective Date and shall remain in effect for two years.

B. Either Party may terminate this Agreement upon written notice if the other Party breaches its obligations under this Agreement. Termination of this Agreement shall not relieve the Receiving Party of its obligations regarding the Confidential Information received during the term of the Agreement.

VII. Return of Information

Upon termination of this Agreement, or at the request of the Disclosing Party, the Receiving Party shall promptly return or destroy all copies of the Confidential Information, and provide written confirmation of compliance to the Disclosing Party.

VIII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Wisconsin.

IX. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether oral or written, relating to the subject matter hereof.

X. Execution

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
