Real Estate Eco-Friendly Practices NDA

This Non-Disclosure Agreement ("Agreement") is entered into on [Date], by and between:

[Your Company Name], with its principal place of business at [Your Company Address] ("Disclosing Party"), and

[Recipient's Company Name], with its principal place of business at [Recipient Address] ("Recipient Party").

WHEREAS, the Disclosing Party possesses certain confidential information related to eco-friendly practices in the real estate industry, including but not limited to sustainable building materials, energy-efficient technologies, and environmentally conscious development strategies (collectively referred to as the "Confidential Information"); and

WHEREAS, the Recipient Party desires to receive and evaluate the Confidential Information for the purpose of [Purpose of Agreement], as mutually agreed upon by the Parties.

Confidential Information: The Parties acknowledge that the Confidential Information may include, but is not limited to, plans, designs, strategies, technologies, research, and any other proprietary information related to eco-friendly practices in the real estate industry.

Non-Disclosure: The Recipient Party agrees to maintain the confidentiality of the Confidential Information and not to disclose, reveal, or make available any part of the Confidential Information to any third party without the prior written consent of the Disclosing Party.

Use of Information: The Recipient Party agrees to use the Confidential Information solely for the purpose stated in this Agreement and not for any other purpose without the prior written consent of the Disclosing Party.

Protection of Information: The Recipient Party agrees to take all reasonable measures to protect the confidentiality of the Confidential Information, including but not limited to implementing physical, technical, and administrative safeguards to prevent unauthorized access, disclosure, or use of the Confidential Information.

Exceptions: The obligations of confidentiality set forth in this Agreement shall not apply to any information that:

Is or becomes publicly available through no fault of the Recipient Party;
Was rightfully known to the Recipient Party prior to disclosure by the Disclosing Party;
Is independently developed by the Recipient Party without reference to or use of the Confidential Information provided by the Disclosing Party.

Term: This Agreement shall become effective as of the date first written above and shall remain in effect for a period of [Term of Agreement] from the date of disclosure of the Confidential Information, unless terminated earlier by mutual agreement of the Parties or as provided herein.

Return of Information: Upon the written request of the Disclosing Party, the Recipient Party shall promptly return or destroy all copies of the Confidential Information and certify in writing to the Disclosing Party that all such copies have been returned or destroyed.

Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any dispute arising under or in connection with this Agreement shall be resolved exclusively by the courts of [Jurisdiction].

Miscellaneous: This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, negotiations, and discussions, whether oral or written. This Agreement may only be amended in writing signed by both Parties.
