Basic Investment Contract for Profit
This Investment Contract (“Agreement”) is made and entered into on the 15th day of March, 2056, by and between [YOUR COMPANY NAME] (the “Investor”), and Fivesphere, with a principal address at Huntsville, AL 35801 (the “Investee”).
I. RECITALS
WHEREAS, the Investor desires to invest in the Investee's business or project described as “Development and Deployment of Sustainable Energy Solutions”;
WHEREAS, the Investee agrees to accept the investment under the terms and conditions set forth in this Agreement;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
II. INVESTMENT TERMS
Investment Amount: The Investor agrees to provide an investment of $500,000 USD to the Investee.
Purpose of Investment: The funds will be used exclusively for research, development, and manufacturing of solar energy storage systems.
Profit Sharing: The Investee agrees to pay the Investor 20% of the net profits generated from the sale of solar energy systems.
III. OBLIGATIONS OF THE INVESTEE
The Investee agrees to:
Utilize the investment solely for the purposes outlined in this Agreement.
Maintain accurate financial records and provide the Investor with quarterly financial reports detailing revenues, expenses, and profits.
Allow the Investor reasonable access to business operations and financial data.
IV. OBLIGATIONS OF THE INVESTOR
The Investor agrees to:
Transfer the investment amount within 10 business days of executing this Agreement.
Refrain from interfering with the day-to-day operations of the Investee unless otherwise agreed.
V. DURATION OF AGREEMENT
This Agreement shall commence on the date of signing and continue until:
The Investor receives a total return of $750,000 USD on their investment; or
Either party terminates the Agreement as per the terms outlined in Section VII.
VI. CONFIDENTIALITY
Both parties agree to keep all business, financial, and operational information shared during the term of this Agreement strictly confidential, except as required by law.
VII. TERMINATION
This Agreement may be terminated:
By mutual written consent of both parties.
By either party, with 30 days prior written notice, in the event of a material breach of this Agreement.
VIII. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama.
IX. DISPUTE RESOLUTION
In the event of a dispute arising out of or relating to this Agreement, the parties agree to first attempt mediation in good faith. If mediation fails, the dispute shall be resolved through arbitration in Huntsville, Alabama, as per the rules of the American Arbitration Association.
X. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, discussions, or understandings, whether written or oral, related to this investment.
