II. Obligations of the Receiving Party

Limit the disclosure of the Confidential Information to its employees or agents who have a need to know such information and who are bound by confidentiality obligations.
III. Exclusions from Confidential Information
The obligations of the Receiving Party under this Agreement shall not apply to information that:
Is or becomes publicly known through no fault of the Receiving Party.
Is received from a third party without a breach of any obligation of confidentiality.
Is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information.
IV. Term and Termination

V. Return or Destruction of Confidential Information
