II. Obligations of the Receiving Party

III. Exclusions from Confidential Information

The obligations of the Receiving Party under this Agreement shall not apply to information that:

Is or becomes publicly known through no fault of the Receiving Party.
Is received from a third party without a breach of any obligation of confidentiality.
Is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information.

IV. Term and Termination

This Agreement shall be effective as of the date first above written and shall continue in effect until [specify period] after the termination of any business relationship between the parties unless otherwise terminated by mutual agreement of both parties.

V. Return or Destruction of Confidential Information
