Marketing NDA for Event Details & Vendors

This Marketing Non-Disclosure Agreement (the "Agreement") is entered into on October 20, 2050 (the "Effective Date"), by and between:

[Your Company Name], a corporation with its principal place of business at 2589 Lena Lane, Jackson, Mississippi 39201, hereinafter referred to as the "Disclosing Party,"

AND;

Acme Event Services, a limited liability company with its principal place of business at 1245 Coal Street, Snow Shoe, Pennsylvania 16874, hereinafter referred to as the "Receiving Party."

WHEREAS, the Disclosing Party and the Receiving Party (collectively, the "Parties") wish to discuss and exchange certain confidential information relating to a marketing event (the "Product Launch Event") scheduled for December 10, 2050, and the services provided by the Receiving Party in connection with the Event.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties hereby agree as follows:

1. Definition of Confidential Information:

"Confidential Information" shall mean any and all non-public information disclosed by the Disclosing Party to the Receiving Party, either directly or indirectly, including but not limited to information related to the Product Launch Event, marketing strategies, vendor contracts, customer lists, financial information, and any other proprietary or sensitive information, regardless of the form of disclosure.

2. Obligations of the Receiving Party:

The Receiving Party agrees to:

2.1. Non-Disclosure: Maintain the confidentiality of all Confidential Information received during the term of this Agreement and for a period of three (3) years following the conclusion of the Product Launch Event.

2.2. Use for Event Only: Use the Confidential Information solely for the purpose of fulfilling its obligations and responsibilities related to the Product Launch Event.

2.3. Limited Access: Limit access to the Confidential Information to authorized personnel who have a legitimate need to know for the purpose of the Product Launch Event.

2.4.Security Measures: Take reasonable security measures to protect the Confidential Information from unauthorized access, disclosure, or use.

3. Permitted Disclosures:

The Receiving Party may disclose Confidential Information only under the following circumstances:

3.1. Legal Requirement: If required by law, regulation, or a valid court order, provided that the Receiving Party gives prompt written notice to the Disclosing Party of such requirement to allow the Disclosing Party an opportunity to seek protective measures.

3.2. Consent: With the prior written consent of the Disclosing Party.

4. Duration of Confidentiality:

The obligations of confidentiality under this Agreement shall remain in effect for a period of three (3) years from the Effective Date.

5. Return of Information:

Upon the written request of the Disclosing Party or upon the termination of this Agreement, the Receiving Party shall promptly return or destroy all Confidential Information and any copies thereof in its possession or control.

6. Remedies for Breach:

The Parties acknowledge that any breach of this Agreement may cause irreparable harm to the Disclosing Party, and the Disclosing Party shall be entitled to seek injunctive relief, specific performance, and any other legal remedies available in the event of a breach.

7. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of the state of New York. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of the state of New York.

8. Entire Agreement:

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
