MARKETING AFFILIATE RESPONSIBILITIES SLA
This Marketing Affiliate Responsibilities Service Level Agreement ("SLA") is entered into on this [Date], between [Your Company Name], having its registered office at [Your Company Address], hereinafter referred to as the "Company," and [Name], hereinafter referred to as the "Affiliate."
WHEREAS, Company operates an affiliate marketing program through its [Your Company Website] ("Affiliate Program"), and Affiliate wishes to participate in the Affiliate Program;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
I. Affiliate Obligations
A. Affiliate Promotion: Affiliate shall promote Company's products and/or services in accordance with the terms and conditions of the Affiliate Program.
B. Compliance: Affiliate shall adhere to all applicable laws, regulations, and the Affiliate Program's policies and guidelines.
C. Content Approval: Any promotional content created by Affiliate must be submitted to the Company for review and approval before publication.
D. Reporting: Affiliate shall provide accurate and timely reports on marketing activities, including clicks, conversions, and revenue generated, to Company.
II. Company Obligations
A. Commission Payments: Company shall pay Affiliate commissions in accordance with the Commission Structure detailed in the Affiliate Program.
B. Reporting: Company shall provide regular reports to Affiliate regarding commissions earned and any necessary performance data.
C. Support: Company shall provide reasonable support to Affiliate to ensure the successful execution of marketing initiatives.
III. Affiliate Performance
A. Minimum Performance Standards: Affiliate shall meet the minimum performance standards outlined in the Affiliate Program. Failure to do so may result in commission adjustments or termination.
B. Termination: In the event of material breach of this SLA, Company reserves the right to terminate the Affiliate's participation in the Affiliate Program.
IV. Confidentiality
A. Both Parties agree to maintain the confidentiality of any non-public information shared during the course of their collaboration.
V. Term and Termination
A. This SLA shall commence on the Effective Date and shall continue until terminated by either Party with 30 days' written notice.
B. Termination for Cause: Either Party may terminate this SLA immediately upon written notice in the event of a material breach by the other Party.
VI. Governing Law
A. This SLA shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.
