SALES CONTRACT FOR COMMISSION TRACKING SOFTWARE

I. Definitions and Interpretations

A. Definitions

For this Contract, the following terms shall have the meanings specified below, with such meanings to be equally applicable to both the singular and plural forms of the terms defined:

  • "Software" refers to the Provider's Commission Tracking Software designed to facilitate accurate tracking of sales commissions, including all its modules, components, user interfaces, and updates provided under this Contract.

  • "User" means any individual employee or an agent of the Client who is authorized to access and use the Software under the terms of this Contract.

  • "Confidential Information" refers to any proprietary data or information, oral or written, disclosed or submitted by either party in connection with this Contract which is not generally known to the public.

B. Interpretations

In this Contract, unless the context requires otherwise:

  1. "Parties" refer to the Provider and the Client collectively, and their inclusion in this Contract is for establishing a harmonious business relationship aimed at the successful use of the Software.

  1. Headings and titles are included for the convenience of the Parties and have no substantive effect on the interpretation of this Contract.

  1. The term "including" is illustrative and is not to be construed as limiting the generality of the preceding words. The conjunction "or" is to be interpreted in the inclusive sense (and/or).

II. Grant of License

A. License Grant

The Provider, at this moment, grants to the Client, upon the terms and conditions set forth herein, a non-exclusive, non-transferable license to use the Software. This grant is limited to the Client's internal business operations and is not for resale or distribution to third parties.

B. Scope of Use

The Client shall use the Software to track sales commissions and generate related reports. The Software shall not be used for any other purpose without the prior written consent of the Provider.

III. Payment Terms

A. Commission Tracking Software License Fee

The Client agrees to compensate the Provider a one-time license fee, which grants the Client the right to use the Software. The license fee reflects the proprietary nature of the Software and the extensive resources deployed in its development.

B. Annual Maintenance Fee

The Client shall pay an annual maintenance fee to ensure they receive continuous software support, updates, and the enhancement of the Software, which are essential for the ongoing efficiency and functionality of the system.

C. Payment Schedule

The payment schedule outlined below ensures timely compensation to the Provider for the Software and supports structured financial planning for the Client.

D. Late Payment

Any late payments will be subjected to a late fee, encouraging prompt payments and helping to cover any additional administrative costs incurred by the Provider due to delayed payment processing.

The delivery of the Software will be done electronically, ensuring a prompt and secure transfer of the necessary installation files and documentation to the Client’s designated email address.

B. Installation

The Provider will manage the installation process of the Software, thus ensuring a professional, timely, and correct setup that allows for the Software’s optimal performance from the outset.

V. Training and Support

A. Training

The Provider commits to delivering comprehensive training sessions to empower the Client’s Users with the necessary knowledge and skills to effectively utilize the Software.

B. Support

The Provider’s ongoing support commitment is essential for resolving any operational issues the Client may encounter, thereby minimizing downtime and ensuring continuous business operations.

VI. Warranties and Representations

A. Provider Warranties

The Provider guarantees that the Software will function according to the provided documentation, reflecting the Provider's confidence in the product and commitment to product quality.

B. Client Warranties

The Client assures its legal right to enter this Contract and undertakes that its use of the Software will comply with all applicable laws and not infringe on any third-party intellectual property or other rights.

VII. Confidentiality

Each party pledges to maintain the secrecy of Confidential Information received from the other party, recognizing the significant value of such information to the other party's business and the damage that could result from its unauthorized disclosure.

VIII. Termination

A. Termination for Cause

A provision for termination for cause allows either party to disengage from the Contract in the event of significant violations of its terms, protecting their respective business interests and legal rights.

B. Effects of Termination

The post-termination obligations are designed to ensure an orderly and equitable conclusion of the parties’ relationship, including the cessation of Software use and handling of proprietary information.
