This Policy Breach Non-Disclosure Agreement ("Agreement") is entered into on October 2, 2090 ("Effective Date"), by and between:

Collectively referred to as the "Parties."

Definition of Confidential Information:

The term "Confidential Information" in this Agreement refers to any and all information, documents, data, policies, procedures, training materials, and other materials related to the policies and procedures of the Disclosing Party, whether disclosed orally, in writing, electronically, or by any other means.

Obligations of the Receiving Party:

  • The Receiving Party agrees to maintain the confidentiality of all Confidential Information received from the Disclosing Party during the term of this Agreement.

  • The Receiving Party shall not disclose, disseminate, or use the Confidential Information for any purpose other than as required for the performance of their duties or as expressly authorized by the Disclosing Party.

Duration of Confidentiality:

The Receiving Party's obligations under this Agreement shall commence on the Effective Date and continue for a period of 3 years from the Effective Date unless terminated earlier in accordance with the terms of this Agreement.

Consequences of Breach:

  • In the event of a breach of this Agreement by the Receiving Party, the Disclosing Party may seek injunctive relief and any other legal remedies available to protect its Confidential Information.

  • The Receiving Party shall be liable for any damages, losses, or expenses incurred by the Disclosing Party as a result of the breach.

Governing Law and Jurisdiction:

  • This Agreement shall be governed by and construed in accordance with the laws of the state of California without regard to its conflict of laws principles.

  • Any disputes arising from or related to this Agreement shall be exclusively resolved in the state or federal courts located within the state of California, and both Parties consent to the jurisdiction of such courts.

Miscellaneous Provisions:

This Agreement constitutes the entire understanding between the Parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.

Any amendments or modifications to this Agreement must be made in writing and signed by both Parties.
