This Product Knowledge Training Non-Disclosure Agreement ("NDA") is entered into on this 1st of January, 2050, between:

Hereinafter referred to as the "Parties."

WHEREAS, the Company has developed proprietary information related to its products, services, and sales strategies, collectively referred to as "Confidential Information"; and

WHEREAS, the Participant is engaged in Product Knowledge Training provided by the Company and will have access to and be trained on the Confidential Information;

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants contained herein, the Parties agree as follows:

Confidential Information

1. The Participant agrees to keep all Confidential Information strictly confidential.

2. Confidential Information includes, but is not limited to, information concerning the Company's products, services, sales strategies, customer lists, pricing, marketing plans, business operations, trade secrets, technical data, and other proprietary information.

The Participant agrees not to use any Confidential Information for personal gain or for the benefit of any third party.

Non-Disclosure

The Participant agrees not to disclose, disseminate, or in any way reveal the Confidential Information to any third party without the prior written consent of the Company.

The Participant shall only disclose Confidential Information to employees or affiliates who require such information for the purpose of the Product Knowledge Training, and only to the extent necessary for that purpose.

Return of Materials

Upon the termination of the Product Knowledge Training or at the Company's request, the Participant shall promptly return all materials, documents, or electronic files containing Confidential Information.

Duration of Obligations

The Participant's obligations under this NDA shall continue indefinitely, even after the termination of their relationship with the Company.

Governing Law

This NDA shall be governed by and construed in accordance with the laws of [Jurisdiction].

Remedies

The Participant acknowledges that any breach of this NDA may cause irreparable harm to the Company, for which monetary damages would not be an adequate remedy. Therefore, the Company shall be entitled to seek injunctive relief in addition to any other remedies available under the law.

Entire Agreement

This NDA contains the entire agreement between the Parties and supersedes all previous agreements and understandings between them, whether written or oral.

Severability

If any provision of this NDA is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
