Assignee agrees to indemnify and hold harmless Assignor from and against any and all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with any breach of the representations and warranties contained herein.

This Assignment shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

This Assignment may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
