I. RELEASE
1.1 Mutual Understanding
The Parties involved in this agreement hereby acknowledge and consent that they are entering into this Release of their own free will, fully comprehending the terms, conditions, and potential ramifications set forth within it.
1.2 Scope of Release
The Employee, in consideration of [COMPANY'S NAME] providing employment and other benefits, hereby releases, acquits, and forever discharges the Company, its affiliates, subsidiaries, parent company, and all of their respective officers, directors, employees, agents, representatives, successors, and assigns (collectively referred to as "Released Parties"), past and present, from all liabilities, claims, demands, actions, causes of actions, costs, and expenses, legal or otherwise, at law or in equity, whether known or unknown, which the Employee has had, now has or may have against the Company because of any matter, cause, or thing whatsoever arising out of or in any way connected with the Employee's services to the Company. This includes, but is not limited to, claims for personal injury, property damage, emotional distress, discrimination, harassment, wrongful termination, breach of contract, defamation, invasion of privacy, or any other harm, whether caused by negligence, gross negligence, recklessness, or otherwise, except to the extent caused by the willful misconduct of the Company.
No Admission of Liability
The Parties agree that this Release is not an admission of liability or wrongdoing by the Company or any Released Parties. Instead, it represents a compromise and settlement of disputed claims and potential claims.
II. INDEMNITY
Indemnification
The Employee agrees to indemnify and hold harmless the Company, its affiliates, subsidiaries, parent company, officers, directors, employees, agents, representatives, successors, and assigns, from and against all liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and legal costs) incurred as a result of or in any manner related to the performance of the Employee's duties for the Company. This indemnification extends to any claims or actions brought by third parties arising out of or in connection with the Employee's actions or omissions while performing their duties.
III. LEGAL ADVICE
Opportunity for Legal Advice
The Employee confirms that they have had the opportunity to seek independent legal advice before entering into this Agreement. By executing this Agreement, the Employee acknowledges that they understand the contents and consequences of this Agreement in full.
IV. GOVERNING LAW
Applicable Law
This Agreement will be governed by and construed under the laws of [COUNTRY]. Any dispute arising under or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in [JURISDICTION].
V. EFFECTIVE DATE
