Standard Contract
THIS AGREEMENT is entered into as of [Date], by and between [Your Company Name], [Your Company Address], (hereinafter "Party A") and [Freelance Developer's Name], [Freelance Developer's Address] (hereinafter "Party B").
1. Project Description and Scope
Party B will develop a custom mobile application (the "Services") according to the specifications outlined in Exhibit A which is attached to this agreement and incorporated herein by reference.
2. Fee and Payment Terms
For the Services, Party A shall pay Party B an agreed fee upon [Enter Payment Due Date]. Party A will also be responsible for any tax and expenses directly related to this agreement as required by law.
3. Intellectual Property Rights
All intellectual property rights in the mobile app developed by Party B, including but not limited to any code, documentation, designs, and processes, shall belong to Party A upon receipt of payment. Party B agrees to assign and hereby assigns all rights in and to the mobile app to Party A along with all associated intellectual property rights.
4. Confidentiality
Each party agrees to treat all information received from the other party that is marked as confidential or that could reasonably be assumed to be confidential, as strictly confidential, and not to disclose such information to any other person or use it for any purpose other than the delivery or receipt of the services under this agreement.
5. Termination
Either Party may terminate this agreement upon written notice if the other Party materially breaches any provision of this agreement.
6. Governing Law
This Agreement shall be governed by and construed under the laws of [Governing Jurisdiction].
7. Complete Agreement
This agreement constitutes the full understanding between Party A and Party B and supersedes all prior agreements, whether written or oral.
