Sample Contract
This contract ("Contract") is entered into on May 10, 2051 (the "Effective Date"), by and between [Your Company Name], a corporation with its principal business office at [Your Company Name], hereinafter referred to as the "Agency," and BluLeaf, with its principal place of business at Richmond, VA 23218 hereinafter referred to as the "Client."
1. SCOPE OF SERVICES
The agency shall provide an array of social media marketing services as mutually agreed upon by both parties that the client deems necessary for its business purposes. Such services shall include, but not be limited to, establishing the client's brand visibility and engaging with a broader audience through various social media platforms.
2. DELIVERABLES
The agency shall deliver, by the prescribed deadline, the mutually agreed-upon strategic plan, executed campaigns, analytics report, and all other deliverables specified in the attached Schedule A. Modifications to the deliverables shall be made under a written agreement by both parties and shall be deemed as an amendment to this agreement.
3. PAYMENT TERMS
The Client shall pay the Agency fee following the pricing terms detailed in the attachment Schedule B. All payments shall be due in full on or before the [Payment Date] of each billing cycle.
4. INTELLECTUAL PROPERTY RIGHTS
All copyright, trademarks, patents, design rights, and other intellectual property rights existing before or created during the Agreement shall remain the sole property of the Party creating or owning the same unless expressly provided to the contrary in writing.
5. TERM AND TERMINATION
This Agreement shall commence on the Effective Date and continue until the completion of the Services unless earlier terminated as provided herein. Either Party will have the right to terminate this Agreement with written notice if the other Party breaches any of the terms and conditions of this Agreement.
6. CONFIDENTIALITY
All non-public, confidential, or proprietary information of the Parties, including but not limited to trade secrets, technology, information about business operations and strategies, and customer information, shall not be disclosed or disseminated by the applicable party without prior written consent.
7. GOVERNING LAW
This Agreement shall be interpreted, construed, and enforced under the laws of [Governing State/Country] without regard to its conflict of law rules.
8. ENTIRE AGREEMENT
This Agreement, including its Schedules, constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
By their execution, the parties below have agreed to all of the terms and conditions of this Agreement, which they concede are fairly and equitably stated, and are an accurate record of their discussions.
