Referral Program Contract
This Referral Program Contract (the “Contract”) is made this ____ day of ____, 20__ (the "Effective Date") by and between [Your Company Name], a company with an address at [Your Company Address] ("Company"),
and
[Referral Partner], with an address at[Address] ("Referral Partner"). Both are hereafter referred to collectively as the "Parties."
RECITALS
WHEREAS, the Company offers certain products/services (the “Products”); and,
WHEREAS, the Referral Partner wishes to refer potential customers to the Company in exchange for a referral fee;
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:
Purpose
This Referral Program Contract ("Contract") outlines the terms and conditions governing the referral partnership between the Company and the Referral Partner.
AGREEMENT
1. Referral Program
A. The Referral Partner will refer potential customers to the Company and, in return, the Company agrees to pay a referral fee as described in this Contract.

A. The Company agrees to pay the Referral Partner a fee for each successful customer referral, the amount of which will be based on the terms set forth in [Exhibit A].
3. Obligations of the Company
A. The Company agrees to:

Track and verify referred customers based on the criteria defined in this contract.
Disburse compensation to the Referral Partner as [outlined in Section 2].
4. Obligations of the Referral Partner
A. The Referral Partner agrees to:
Act in the best interest of the Company when referring potential customers.
Abide by all applicable laws and regulations.
Refrain from engaging in any misleading or unethical practices.
5. Payment
A. The Referral Partner will receive compensation as follows:
The Company shall make payment to the Referral Partner within thirty (30) days upon receipt of the Referral Partner’s invoice, provided that the referred customer has made payment to the Company for the Products.
6. Term and Termination
A. This Contract shall remain in effect until terminated by either Party after providing thirty (30) days' written notice.
7. Confidentiality
A. Both Parties agree to keep the terms of this Contract and any information received from the other Party in connection to this Contract as confidential.
8. Governing Law and Dispute Resolution
A. This Contract will be governed by and interpreted in accordance with the laws of [Country/State]. All disputes under this Contract will be resolved by binding arbitration under the rules of the [Relevant Arbitration Association].
9. Entire Agreement
A. This Contract constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.
