1. CONFIDENTIAL INFORMATION

The Disclosing Party agrees to disclose specific confidential information ("Confidential Information") to [Receiving Party Name] to collaborate on joint marketing initiatives within the motorcycle industry. Confidential Information includes but is not limited to, customer data, marketing strategies, promotional materials, and other proprietary motorcycle-related information.

2. OBLIGATIONS OF [Receiving Party]

a. Confidentiality: Keep all Confidential Information confidential and refrain from disclosing it to any third party without the Disclosing Party's prior written consent.

b. Use of Information: Use the Confidential Information solely for joint marketing initiatives within the motorcycle industry and not for any other purpose.

c. Protection: Take all reasonable steps to protect the Confidential Information from unauthorized disclosure or use.

3. EXCEPTIONS

[Receiving Party]' obligations under this Agreement do not apply to information that:

a. The information becomes publicly available through no fault of [Receiving Party].

b. Is already in [Receiving Party]’s possession without restriction regarding disclosure.

c. Is independently developed by [Receiving Party] without reference to or reliance upon the Confidential Information.

4. RETURN OR DESTRUCTION OF INFORMATION

Upon the Disclosing Party's written request or Agreement termination, [Receiving Party] will promptly return or, at the Disclosing Party's option, destroy all copies of the Confidential Information in its possession.

5. DURATION OF CONFIDENTIALITY OBLIGATIONS

6. GOVERNING LAW

This Agreement is governed by and construed per New Jersey state laws, without regard to its conflict of law principles.

7. DISPUTE RESOLUTION

Resolve disputes arising from this Agreement through arbitration following the rules of the Motorcycle Industry Arbitration Organization (MIAO). The parties will enter judgment on the arbitrator(s)' award in any court with jurisdiction.

8. MISCELLANEOUS

a. Amendments: Both parties must agree in writing to amend this Agreement.

b. Entire Agreement: This Agreement constitutes the entire understanding between the parties, superseding all prior discussions, negotiations, and agreements, whether oral or written.
