Free Professional Legal Agreement

This Professional Legal Agreement ("Agreement") is made and entered into as of January 1, 2050, by and between AireMix, a corporation duly organized and existing under the laws of the State of Washington, with its principal office located at Spokane, WA 99201 ("Client"), and [Your Company Name], a corporation duly organized and existing under the laws of the State of Washington, with its principal office located at [Your Company Address] ("Service Provider"). Collectively referred to as the "Parties."

I. Purpose of Agreement

The purpose of this Agreement is to outline the terms under which [Your Company Name] shall provide services to AireMix as outlined herein. This includes consulting, management, and technical services that will support AireMix's operational goals.

1.1 Services Provided

[Your Company Name] shall provide the following services:

• Consulting: Offering strategic advice to help AireMix improve efficiency, reduce costs, and enhance overall business operations.

• Management: Managing specific projects and initiatives as outlined in the Statement of Work ("SOW").

These services will be provided according to the terms, timelines, and deliverables established by mutual agreement of both Parties.

II. Payment Terms

2.1 Compensation

For services rendered under this Agreement, AireMix agrees to pay [Your Company Name] a total sum of $200,000, which will be paid in accordance with the following schedule:

• $50,000 due upon execution of this Agreement.

• $75,000 due upon completion of the first milestone as defined in the Statement of Work.

• $75,000 due upon successful completion of all services outlined in the Agreement.

Payments shall be made via bank transfer to the account designated by [Your Company Name]. All payments must be made within 15 days of receiving each invoice.

2.3 Late Payment

In the event that any payment is not made within the designated timeframe, a late fee of 5% per month will be applied to the outstanding balance.

III. Confidentiality

3.1 Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" refers to any information disclosed by one Party to the other Party that is not generally available to the public and that is disclosed in connection with this Agreement. This includes, but is not limited to, business plans, strategies, financial information, and client lists.

3.2 Non-Disclosure

Both Parties agree to keep all Confidential Information confidential, and not to disclose it to any third party without prior written consent. This obligation shall continue indefinitely, even after the termination of this Agreement.

IV. Term and Termination

4.1 Duration

This Agreement shall commence on January 1, 2050, and will remain in effect until December 31, 2050, unless terminated earlier by either Party as specified in this Agreement.

4.2 Termination for Convenience

Either Party may terminate this Agreement for any reason upon providing 30 days' written notice to the other Party.

4.3 Termination for Breach

If either Party materially breaches any of the terms or conditions of this Agreement, and fails to cure such breach within 15 days of written notice, the non-breaching Party may terminate the Agreement immediately.

V. Governing Law

5.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflicts of laws principles.

5.2 Dispute Resolution

In the event of any dispute arising under this Agreement, the Parties agree to first attempt to resolve the dispute through mediation. Should mediation fail, the dispute will be settled through binding arbitration in Spokane, Washington, in accordance with the rules of the American Arbitration Association.

VI. Limitation of Liability

6.1 Liability Limitation

Neither Party shall be liable for any indirect, consequential, or punitive damages arising from this Agreement. The total liability of either Party shall not exceed the amount paid under this Agreement for the services provided.

6.2 Indemnification

Each Party agrees to indemnify and hold harmless the other Party, its employees, agents, and contractors, from and against any and all claims, damages, liabilities, or expenses arising out of the performance or non-performance of their obligations under this Agreement, except in cases of willful misconduct or gross negligence.

VII. Miscellaneous Provisions

7.1 Entire Agreement

This Agreement constitutes the entire understanding between the Parties with respect to the subject matter of this Agreement and supersedes all prior written or oral agreements.

7.2 Amendments

This Agreement may be amended or modified only by a written instrument signed by both Parties.

7.3 Force Majeure

Neither Party shall be held liable for failure to perform any obligation under this Agreement due to events beyond their reasonable control, including but not limited to acts of God, war, labor disputes, or government restrictions.
