Selling Contract
THIS SALE OF GOODS AGREEMENT ("Agreement") is entered into as of March 21, 2054, by and between [Your Name], located at [Your Company Address] (the "Seller") and [Buyer Name], located at [Buyer Address] (the "Buyer") (collectively known as the "Parties").
1. DESCRIPTION OF GOODS
Seller shall sell, transfer, and deliver to Buyer on or before March 21, 2054, the following tangible goods: Ten units of high-quality electronic tablets, with a minimum screen size of 10 inches, 128 GB storage, and a minimum battery life of 8 hours, bearing the brand ABC Tablets Model X.
2. CONSIDERATION
In consideration for the Goods, Buyer agrees to pay Seller the purchase price of $10,000 in United States Dollars, upon the terms and conditions set forth herein.
3. PAYMENT TERMS
The above amount shall be paid to Seller by Buyer as follows:
50% of the purchase price ($5,000) shall be paid as a deposit upon signing this agreement.
The remaining 50% ($5,000) shall be paid upon delivery of the goods.
4. DELIVERY
Seller shall deliver the Goods at [Buyer's Address] on or before March 21, 2054. Any delivery delays shall be communicated promptly to the Buyer with reasons for the delay and a revised delivery schedule. The goods shall be securely packaged to prevent damage during transit.
5. RISK OF LOSS
Any loss or damage that occurs during the transport of the Goods will be covered by the Seller until delivered. Upon delivery, the risk of loss or damage shall transfer to the Buyer.
6. WARRANTY
Seller warrants that the Goods are free from any security interest, claims, or encumbrances and that Seller will defend the product against any claims or interest of any third party. Seller further warrants that the Goods shall conform to the specifications and quality standards agreed upon by the Parties.
7. INDEMNIFICATION
Buyer shall indemnify, defend, and hold harmless Seller against any losses, claims, damages, liabilities, and expenses, including reasonable attorney's fees, that arise out of or are related to Buyer's breach of this Agreement or use of the Goods.
8. ENTIRE AGREEMENT
This Contract sets forth the entire agreement about the Goods and supersedes all prior oral or written agreements or understandings. No modification of this Agreement shall be effective unless in writing and signed by both Parties.
9. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed by the laws of the country of [Country]. Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the Parties are unable to resolve the dispute through negotiations, it shall be resolved through arbitration by the rules of [Arbitration Institution], with the place of arbitration being [Arbitration Location].
