ADVISOR CONTRACT
This Consulting Contract (the “Contract”) made and entered into this [Insert Date] (the “Effective Date”), by and between [Client's Name], located at [Client's Address] (the “Client”), and [Your Name], located at [Your Company Address] (the “Advisor”).
1. SERVICES PROVIDED
The Advisor officially acknowledges and consents to provide consulting services, which will be referred to as the "Services", to the Client. The details and specifics of these services are thoroughly outlined in Exhibit A, which has been attached to this document for reference.
2. COMPENSATION
Taking into account the services that are to be provided by the Advisor and other obligations stipulated, it is agreed that the Client shall provide compensation to the Advisor. The specifics of this compensation are detailed and explained in Exhibit B, which is attached to this document for further reference.
3. CONFIDENTIALITY
The Advisor, during their engagement under this contract, has agreed to maintain the confidentiality of all non-public information they receive about the Client. Such private data, which the Advisor comes to know of during the duration of this engagement, will be kept undisclosed and not used unless the Client gives their prior written consent for the same. The Advisor is aware of this need for discretion and non-disclosure and has committed to upholding the principles of confidentiality and client privacy in the interest of adhering to ethical and professional standards.
4. TERM AND TERMINATION
This Contract will begin or become effective on the agreed date, referred to as the Effective Date, and will persist in complete effect or power persistently. This continuation will not cease unless or until the contractual agreement is terminated or brought to an end by either of the parties involved in this contract. The mechanisms and conditions for such termination are outlined and explained in this document.
5. INDEPENDENT CONTRACTOR
The relationship existing between the Advisor and the Client is solely that of an independent contractor. In no way, shape, or form does this contract insinuate or explicitly mention the creation of other types of relationships such as a partnership, a joint venture, or an employer-employee relationship. The wording and stipulations within this Contract should not be misconstrued or interpreted to establish any such relationships.
6. INDEMNIFICATION
Both parties involved in this Contract are in mutual contract on the following terms:
If either party does not adhere to or breaches the terms and conditions specified in this Contract, the party committing the breach agrees to indemnify, that is, compensate for harm or loss, and hold harmless, that is, not hold responsible, the other party.
This compensation and exemption from responsibility covers all potential losses, claims made by third parties, liabilities incurred, and expenses that might have to be paid.
The said losses, claims, liabilities, and expenses must result directly or indirectly from the breach of this Contract.
7. GOVERNING LAW
This Contract and any action related thereto will be governed and interpreted by the laws of the [Jurisdiction/Country].
8. ENTIRE CONTRACT
This Contract contains the full contract of the parties and supersedes all prior negotiations, understandings, and contracts between the parties.
