Freelance Logo Design Contract
This Freelance Logo Design Contract ("Contract") is entered into this [Date] (the “Effective Date”) by and between [Your Name] (the “Designer”), located at [Your Company Address] and [Client's Name] (the “Client”), located at [Client's Address]. Hereinafter collectively referred to as the "Parties."
Description of Services
The individual who is professionally known as the Designer is willing in agreement to create, construct and establish a unique visual representation, simply called a 'logo', for the benefit and use of the Client. The Designer shall create this 'Logo' as explicitly requested by the Client and in full accord with the specific demands, stipulations, and prerequisites that the Client has distinctly communicated and expressed beforehand.
Fee and Payment Terms
The Client agrees to pay the Designer a total fee of [Design Fee] for the Logo, payable as follows: 50% upon execution of this Contract and 50% upon delivery of the final Logo.
Timelines
The Designer agrees to commence work on the logo design project promptly upon receipt of the initial payment. The parties agree upon the following timeline:
Initial concept designs are to be delivered within [number] days from the date of payment.
Revisions are to be completed within [number] days from receipt of Client Feedback
Final logo design files are to be delivered within [number] days of approval by the Client.
Ownership and Rights
Upon full payment, all rights, title, and interest in and to the final logo design shall be transferred to the Client. The Designer retains the right to use the logo design in their portfolio and marketing materials.
Termination
Either party may terminate this Contract with written notice if the other party breaches any material term of this Contract. In the event of termination, the Client shall pay the Designer for all services rendered up to the date of termination, prorated as appropriate.
Governing Law
This Contract shall be governed by and construed by the laws of [Jurisdiction]. Any disputes arising under or in connection with this Contract shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
