Free Sports Contract

This contract (the “Contract”) is entered into as of [Effective Date], by and between [Your Company Name], a company duly organized and operating according to the laws of [Jurisdiction] with its principal office located at [Your Company Address] (hereinafter referred to as “the Company”) and [Athlete's Name], an individual with the address at [Athlete's Address] (hereinafter referred to as “the Athlete”).

1. ENGAGEMENT

1.1 Scope of Engagement: The Athlete shall engage in professional sports activities as specified by the Company, including but not limited to training sessions, competitions, promotional events, and media appearances.

1.2 Exclusive Services: During the term of this Contract, the Athlete agrees to provide exclusive services to the Company and shall not engage in any activities that may conflict with the interests of the Company without prior written consent.

1.3 Performance Standards: The Athlete shall perform all services under this Contract in a professional and diligent manner, consistent with the highest standards of sportsmanship and integrity.

1.4 Representations and Warranties: The Athlete represents and warrants that they have the necessary skills, experience, and qualifications to perform the services required under this Contract.

1.5 Training and Conditioning: The Athlete shall maintain their physical condition at a level suitable for the performance of their duties under this Contract and shall comply with all training and conditioning programs prescribed by the Company.

2. PRIVILEGES AND RESPONSIBILITIES OF THE ATHLETE

2.1 Event Participation: The Athlete shall participate in all events, competitions, and activities as required by the Company, including but not limited to games, matches, exhibitions, and promotional events.

2.2 Endorsements and Sponsorships: The Athlete agrees to participate in promotional activities, endorsements, and sponsorships as required by the Company. The Athlete shall use their best efforts to promote the Company's products and services in a positive and professional manner.

2.3 Image and Likeness: The Athlete hereby grants the Company the right to use their name, image, likeness, and biographical information for promotional and marketing purposes, including but not limited to advertisements, press releases, and social media posts.

2.4 Health and Fitness: The Athlete shall maintain their physical fitness and health at a level necessary to perform their duties under this Contract. The Athlete agrees to undergo medical examinations and evaluations as required by the Company.

2.5 Professional Conduct: The Athlete shall conduct themselves in a professional manner at all times and shall not engage in any conduct that may harm the reputation or interests of the Company.

2.6 Compliance with Laws and Regulations: The Athlete shall comply with all applicable laws, rules, and regulations governing their participation in sports and shall not engage in any activities that may violate such laws, rules, or regulations.

2.7 Training and Development: The Athlete shall participate in training programs and activities as required by the Company to improve their skills and performance.

2.8 Conflict of Interest: The Athlete shall disclose any potential conflicts of interest that may arise during the term of this Contract and shall seek the Company's guidance on how to manage such conflicts.

3. TERM AND RENEWAL

3.1 Initial Term: The initial term of this Contract shall be [Initial Term Duration] commencing from [Effective Date] and ending on [End Date].

3.2 Renewal: Upon the expiration of the initial term, this Contract may be renewed for successive terms of [Renewal Term Duration] each, unless either party provides written notice of non-renewal at least [Notice Period] days prior to the expiration of the then-current term.

5. CONFIDENTIALITY

5.1 Definition of Confidential Information: For the purposes of this Contract, "Confidential Information" shall include all information, whether written or oral, disclosed by the Company to the Athlete, or vice versa, that is not generally known to the public and that is used, developed, or obtained by the Athlete in connection with the services provided under this Contract.

5.2 Non-Disclosure: The Athlete agrees not to disclose any Confidential Information to any third party without the prior written consent of the Company, except as required by law.

5.3 Use of Confidential Information: The Athlete agrees to use the Confidential Information solely for the purpose of performing their duties under this Contract and not for any other purpose.

5.4 Protection of Confidential Information: The Athlete agrees to take all reasonable precautions to protect the confidentiality of the Confidential Information and to prevent it from being disclosed or used in violation of this Contract.

5.5 Return of Confidential Information: Upon the termination or expiration of this Contract, or at any time upon the Company's request, the Athlete shall return to the Company all Confidential Information in their possession or control, including any copies thereof.

5.6 Survival: The obligations of confidentiality set forth in this section shall survive the termination or expiration of this Contract for a period of [Survival Period] years.

6. TERMINATION

6.1 Termination for Cause: Either party may terminate this Contract immediately upon written notice to the other party if the other party materially breaches any provision of this Contract and fails to remedy such breach within [Remedy Period] days after receiving written notice thereof.

6.2 Termination for Convenience: The Company may terminate this Contract for convenience upon [Notice Period] days' written notice to the Athlete. 7. INDEMNITY

7.1 Indemnification by Athlete: The Athlete agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

(a) Any breach of this Contract by the Athlete;

(b) Any negligent or wrongful act or omission by the Athlete in the performance of their duties under this Contract;

(c) Any claim that the services rendered by the Athlete under this Contract infringe upon or violate any intellectual property rights or other rights of any third party.

7.2 Indemnification Procedure: The Company shall promptly notify the Athlete in writing of any claim subject to indemnification hereunder. The Athlete shall have the right to assume the defense of such claim, with counsel reasonably acceptable to the Company, and shall not settle any claim without the Company's prior written consent, which shall not be unreasonably withheld.

7.3 Limitation of Liability: The Athlete's liability under this indemnity provision shall be limited to the extent of any liability imposed on the Athlete by a court of competent jurisdiction in a final, non-appealable judgment.

7.4 Survival: The provisions of this indemnity section shall survive the termination or expiration of this Contract for a period of [Survival Period] years.

8. GOVERNING LAW

This Contract shall be governed by, and construed in accordance with the laws of State of [State]. All disputes arising under or in relation to this Contract shall be submitted to the exclusive jurisdiction of the courts of [State].

9. ENTIRE AGREEMENT
