II. Scope of Work

A. Services Provided

1. Initial Consultation and Assessment

2. Design Concept Development

   • Client will have the opportunity to review and provide feedback on the design concepts before finalization. Designer will collaborate closely with the Client to incorporate any requested revisions or adjustments to ensure that the final design aligns with the Client's vision and expectations.

III. Project Timeline

A. Start Date

1. The project is scheduled to commence on June 1, 2050. This start date marks the beginning of the interior design process, including initial consultations, site assessments, and preliminary planning.

B. Completion Date

1. The project is expected to be completed by September 1, 2050. This completion date signifies the culmination of all design activities, including concept development, procurement, installation, and final walkthroughs.

2. Phased Timeline

   • Phase 1 (June 1 - June 15, 2050): Initial Consultation and Assessment

     • Designer will conduct an in-depth consultation with the Client to gather requirements and preferences.

     • Site assessments and measurements will be performed to evaluate the property's layout and features.

   • Phase 2 (June 16 - July 15, 2050): Design Concept Development

     • Designer will develop initial design concepts and mood boards based on the Client's input.

   • Phase 3 (July 16 - August 15, 2050): Procurement and Execution

     • Designer will finalize design plans and initiate procurement of furniture, fixtures, and equipment (FF&E).

   • Phase 4 (August 16 - September 1, 2050): Finalization and Handover

     • Final walkthroughs will be conducted to ensure all aspects of the design are executed according to specifications.

     • Client will be presented with the completed project and any necessary documentation.

IV. Payment Terms

A. Total Cost

V. Client Responsibilities

B. Communication

1. Client agrees to promptly respond to communication from Designer regarding project decisions and approvals. Client will maintain open and clear communication channels with Designer throughout the duration of the project, providing timely feedback and responses to facilitate efficient progress.

C. Approval Process

1. Client will review and approve design concepts, materials, and any proposed changes within a reasonable timeframe to avoid delays in the project schedule. Timely approval from the Client is essential for the smooth progression of the design and implementation phases.

VI. Designer Responsibilities

A. Professionalism

1. Designer agrees to conduct themselves in a professional manner at all times when interacting with the Client and other project stakeholders. This includes maintaining confidentiality, respecting the Client's privacy, and upholding ethical standards in all aspects of the design process.

B. Timeliness

1. Designer commits to adhering to the agreed-upon project timeline and milestone deadlines. This includes delivering design proposals, procurement schedules, and project updates in a timely manner to keep the Client informed of progress and ensure project milestones are met.

C. Quality Assurance

1. Designer will ensure that all design solutions and materials selected meet the highest standards of quality, functionality, and aesthetic appeal. Designer will exercise diligence in the selection of furniture, fixtures, and equipment (FF&E), ensuring they align with the Client's preferences, budget constraints, and project requirements.

D. Documentation

1. Designer will maintain accurate records of all project-related communications, agreements, approvals, and expenses. This includes keeping detailed project files, contracts, invoices, and receipts organized and accessible for reference throughout the duration of the project and beyond.

E. Project Coordination

1. Designer will oversee all aspects of project coordination, including liaising with contractors, vendors, and other service providers to ensure seamless execution of the design plan. Designer will schedule and supervise site visits, installations, and inspections to monitor progress and address any issues promptly.

VII. Termination Clause

A. Early Termination

1. Either party may terminate this contract with written notice if the other party fails to fulfill their obligations outlined in this agreement. In the event of termination, the terminating party shall provide written notice specifying the reasons for termination and the effective date of termination.

B. Refund Policy

1. In the event of early termination initiated by the Client, any payments made by the Client will be refunded on a prorated basis, minus expenses incurred by the Designer up to the termination date. The prorated refund amount will be calculated based on the percentage of completed work versus the total project scope outlined in this contract.

2. If termination is initiated by the Designer due to the Client's failure to fulfill their obligations or breach of contract, any payments made by the Client will not be refundable. The Designer reserves the right to retain all payments received as compensation for work completed, expenses incurred, and damages resulting from the termination of the contract.

VIII. Legalities

A. Governing Law

X. Confidentiality

This includes, but is not limited to, design concepts, financial information, trade secrets, and any other sensitive information shared between the parties.

B. Non-Disclosure

1. The Designer and the Client agree not to disclose any confidential information to third parties without the prior written consent of the disclosing party, except as required by law or court order. This obligation of confidentiality shall survive the termination of this contract.

2. Each party shall take reasonable measures to protect the confidentiality of the other party's confidential information, including implementing appropriate security measures and restricting access to confidential information on a need-to-know basis.

C. Exceptions

1. The obligations of confidentiality shall not apply to any information that:

   • Was already known to the receiving party prior to disclosure by the disclosing party.

   • Becomes publicly available through no fault of the receiving party.

   • Is independently developed by the receiving party without reference to the disclosing party's confidential information.

   • Is rightfully received from a third party without restrictions on disclosure.

D. Survival

1. The provisions of this confidentiality clause shall survive the termination or expiration of this contract and shall remain in full force and effect indefinitely.

XI. Amendment and Modification

A. Amendment

B. Notice

C. Waiver

D. Severability
