Goods Supply Contract
1. Parties Involved
This Goods Supply Contract ("Contract") is entered into on [Date] by and between [Your Company Name], having its principal place of business at [Your Company Address] ("Supplier"), and Macey Erdman, having its principal place of business at Peoria, AZ 85345 ("Buyer").
2. Definitions
For the purposes of this Contract, the following terms shall have the meanings set forth below:
2.1 Goods
The term "Goods" shall refer to the products listed in Exhibit A, attached hereto and incorporated herein by reference.
2.2 Delivery Date
The term "Delivery Date" shall refer to the date upon which the Goods must be delivered to the Buyer, as specified in the delivery schedule in Exhibit B.
3. Terms and Conditions
3.1 Supply of Goods
The Supplier agrees to supply, and the Buyer agrees to purchase, the Goods under the terms and conditions of this Contract.
3.2 Price and Payment
The Buyer shall pay the Supplier the amount specified in Exhibit C. Payment terms are Net 30 days from the date of invoice unless otherwise agreed upon in writing by both parties.
3.3 Delivery
The Supplier shall deliver the Goods to the Buyer's designated address by the Delivery Date. The risk of loss or damage to the Goods shall pass to the Buyer upon delivery.
3.4 Inspection and Acceptance
The Buyer shall have [number] days from the Delivery Date to inspect the Goods and notify the Supplier of any non-conformities. If no such notice is received, the Goods shall be deemed accepted.
3.5 Warranties
The Supplier warrants that all Goods shall conform to the specifications in Exhibit A and shall be free from defects in material and workmanship for a period of [warranty period] from the Delivery Date.
4. Term and Termination
This Contract shall commence on the date first above written and shall remain in effect until all obligations hereunder have been fulfilled, unless terminated earlier in accordance with the provisions herein.
