RETAIL SALES CONTRACT
PARTIES
This Agreement is made on the 1st day of February 2050 between Royce Retail, located at [YOUR COMPANY ADDRESS], (hereinafter referred to as the "Distributor"), and Bella Bags, located at [YOUR COMPANY ADDRESS], (hereinafter referred to as the "Supplier").
RECITAL
Upon the basis of mutual covenants contained in this Agreement and for other good and valuable considerations, the parties agree as follows:
1. TERMS AND CONDITION
The Supplier appoints the Distributor as its distributor for the term of this Agreement, commencing February 1, 2050, and concluding February 3, 2050.
2. PRODUCT PRICING
The Product’s price to be sold by the Distributor to the customers during the Sale is set out in Appendix 1 attached to this Agreement.
3. DELIVERY SCHEDULE AND TERMS
The Supplier will ship directly to the Distributor at [Your Company Address], which shall be January 25, 2050, accompanied by an Invoice detailing the contents of the shipment.
4. QUALITY STANDARDS
The Supplier assures that beauty products delivered will satisfy the agreed quality standards set by Royce Retail. Any non-conforming products found will be addressed as provided in this Agreement.
5. PAYMENT
The Distributor will pay the Supplier for the Products delivered in accordance to the payment structure set out in Appendix 2 of this Agreement, with payment due on or before the 25th of January.
6. INDEMNITY
Each party agrees to indemnify the other party against every loss, liability, or cost incurred by that indemnified party, as a result of any acts or omissions of the indemnifying party in connection with this Agreement.
7. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed following the laws of the location of the Distributor.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
